Conduct legal research on healthcare laws, regulations and policies, and structure deals to comply with healthcare regulations. Advise clients regarding regulatory compliance such as corporate practice of medicine, HIPAA and other patient privacy acts, and other corporate structuring matters. Draft and negotiate Asset Purchase Agreements, Stock Purchase Agreements, Management Services Agreements and other ancillary documents. Conduct extensive due diligence process and prepare contract review charts. Coordinate with clients and opposing counsels. Lead the closing in various transactions. Draft various company governance documents.
