The Role

a16z Perennial is building an investment advisory business for strategic members of the a16z community who want to compound tax-optimized, long-term returns. To achieve that goal, we are optimizing our legal and tax structures, being strategic about where we pay fees for exceptional managers and where we invest directly, and hiring top talent who are excited to go 0 to 1 with us. We are looking for a summer intern to support a16z Perennial Legal and Compliance. You will help with private fund investments deal review, closings and tracking, researching and tracking the global regulatory framework within which our business operates and helping a16z Perennial stay organized in connection with its contractual and fiduciary obligations.

To join our team, you should be excited to:
  • Help Legal and Compliance manage legal review of incoming deals – fund investments or direct portfolio company investments – by reviewing agreements, issue spotting and internal tracking of key terms
    • Includes reviewing limited partnership agreements and private placement memoranda for fund investments, reviewing shareholders agreements and other financing documents for direct investments
    • Assisting with subscription document completion and review for fund investments.
  • Create a comprehensive deal tracking/monitoring system across the business
  • Compile a summary of global securities laws applicable in jurisdictions where a16z Perennial seeks to do business
  • Organize and create a tracker of deliverables to banks/ISDA counterparties in connection with hedge fund ISDA agreements
  • Build out a tracker of fund LP subscription responses for internal compliance
  • Manage compliance calendar and tracking filing obligations across the business
The ideal candidate
  • Excited to learn more about private fund investing and the legal/regulatory frameworks within which private funds operate
  • Organized, detail oriented, and a fast learner
  • Strong analytical thinking and communication skills
  • Comfortable with dynamic deadlines and fast turnaround
  • Team player – able to work cross-functionally within the team
  • Completed at least one year of law school
  • Have a general understanding of corporate structures and the U.S. securities laws.
Success in this role looks like
  • Understanding the fund investment process from NDA to investment closing
  • Streamlining the deal closing process for legal and operations teams
  • Becoming an integral part of the legal, compliance and operations teams and processes
  • Gaining an understanding of the nuances of the investment advisory business and the close relationship between legal, compliance, fundraising and investing functions.
  • Implementing systems to assist compliance on an ongoing basis

The anticipated hourly rate for this role is $70.00 per hour, actual starting pay may vary based on a range of factors which can include experience, skills, and scope.
