Job description

Reporting to the Group General Counsel, the Associate General Counsel will support the full spectrum of legal services to the company with emphasis on contracting and general business activities for the United States entities.

This position is an excellent opportunity to join a dynamic organization experiencing significant growth. All candidates must be self-starting, but eager to learn, and demonstrate energy and a desire for high achievement.

The Associate General Counsel will draft, review and negotiate a variety of complex and routine contracts including master services agreements, statements of work, amendments, service level agreements, channel partner agreements, vendor agreements, RFP responses and supporting documentation, developing and maintaining contract templates, developing business and legal processes, and implementing internal policies to help scale the business. The Associate General Counsel will be an essential part of the legal team, serving closely with the Group General Counsel. The Associate General Counsel will be integrated into the executive team as a whole and will be looked upon to provide thought leadership in specific legal and business-related areas.  The successful candidate must have the ability to understand Cennox’s diverse business operations and demonstrate an ability to be proactive, exercise independent judgment, and manage multiple projects simultaneously. The ideal candidate brings a collaborative approach and the proven ability to build strong relationships with internal and external clients in a fast faced environment.

The ideal candidate will have approximately 5 to 10 years of legal knowledge/experience, with significant experience structuring and negotiating commercial agreements of varying complexity. They will have handled from inception through conclusion product sales and service agreements, licensing agreements and various other agreements, including negotiating and drafting the relevant documents associated with the transaction. Experience involving employment law, data privacy, corporate law, domestic and international operations, and domestic and international tax law is a plus.  Experience managing small groups and working in cross functional teams is also a plus.

Essential Functions:

  • Contracts. Drafting, negotiating, reviewing and providing legal and strategic counsel and input with respect to the company’s contracts with its commercial partners.
    • Negotiating, drafting and amending complex and routine commercial contracts utilizing strong problem-solving skills.
    • Reviewing complex and routine contracts to ensure clauses, terms and conditions are compliant with quality, legal, governmental and regulatory requirements to mitigate current and future risks.
    • Training business personnel on contract provisions and form agreements, terms and conditions, and indemnifications.
    • Interfacing with business personnel (non-lawyers) and clients to assist in preparation and negotiation of contract documents as well as providing guidance and practical solutions.
    • Lead audits of the contract review processes.
  • Contract Management. Supporting the creation and the use of best practices in contract management by developing, recommending, and communicating operating policies and procedural improvements.
  • Employment. Providing support to Human Resources, including advising HR staff on appropriate employee-related action; developing, recommending, and communicating operating policies and procedural improvements; drafting employment policies and manuals; and other activities.
  • Corporate Generalist. Providing general corporate advice and counsel.
    • Providing advice and guidance on corporate governance and corporate risk management issues.
    • Developing the necessary skills to become a competent generalist, including those skills involving labor and employment related matters.
    • Identifying performance metrics, establishing benchmarks and managing the implementation of same.
  • Proposals/RFPs. Supporting the formulation of proposals or responses to RFPs for multi-million-dollar, multi-year contracts with Fortune 500 companies to provide solutions, best practice alternatives, and comments for managing risk.
  • Other Skills. In addition to the above competencies, the ideal candidate will be skilled in:
    • Providing superb attention to detail and the ability to ramp-up quickly in new environments and teams.
    • Adapting to conflicting ad hoc deadlines, priorities and deadline demands, controlling the daily management of multiple simultaneous tasks in a fast-paced business environment.
    • Outstanding written and verbal communication.
    • Desire to partner closely with non-legal teams to collaborate to accomplish business goals.
    • Providing guidance, management, and mentorship to others in the legal department.
  • Other jobs and duties as assigned.

Minimum Education and/or Experience:

  • Law degree from an accredited US law school required. Georgia Bar license preferred, with admission to Georgia Bar within a reasonable time after hire required.
  • Approximately 5 to 10 years of experience practicing law in a creative and fast-paced environment, preferably in-house or in corporate defense.
  • Experience handling voluminous contracts of varying complexity, including negotiating and drafting the relevant documents associated with the transaction from inception through conclusion.
  • Experience involving employment law; data privacy; corporate law; domestic and international operations; and domestic and international tax law is a plus.
  • Broad spectrum legal experience sufficient to advise on and manage legal matters for a business that operates across the United States.
