Job Summary
The Associate Attorney provides legal support to BKV's Legal Department by assisting attorneys with commercial transactions, corporate governance, mergers and acquisitions, regulatory matters, and general corporate legal advice. This role supports a broad range of legal matters affecting the Company's upstream, midstream, power, and carbon capture businesses while developing practical legal and business judgment.
Working under the guidance of senior attorneys, the Associate Attorney drafts and reviews legal documents, conducts legal research, participates in transactions, and advises internal business clients on day-to-day legal matters. This position requires strong analytical skills, attention to detail, and the ability to manage multiple priorities in a dynamic, fast-paced environment. The successful candidate demonstrates integrity, accountability, collaboration, and sound judgment while upholding BKV's values and culture
Responsibilities
  • Draft, review, and negotiate a variety of commercial agreements, including confidentiality agreements, master service agreements, purchase and sale agreements, transportation agreements, easements, and other commercial contracts.
  • Assist with mergers, acquisitions, divestitures, joint ventures, and other strategic transactions, including due diligence, transaction documentation, closing activities, and post-closing integration.
  • Provide day-to-day legal support to business units on operational, commercial, and corporate matters.
  • Conduct legal research and prepare memoranda regarding oil and gas, corporate, commercial, environmental, and regulatory issues.
  • Assist with corporate governance matters, including preparation of Board and committee materials, resolutions, entity maintenance, and corporate records.
  • Support the Legal Department in maintaining contract templates, legal forms, policies, and internal procedures.
  • Review and advise on contract compliance, risk allocation, and contractual obligations.
  • Coordinate with outside counsel on assigned legal matters.
  • Assist with litigation management, discovery requests, document preservation, and legal holds as needed.
  • Collaborate with cross-functional teams, including Land, Operations, Finance, Accounting, Human Resources, Commercial, and Corporate Development.
  • Support legal operations initiatives designed to improve efficiency, knowledge management, and departmental processes.
  • Perform other legal duties as assigned.

Required
  • Juris Doctor (J.D.) from an accredited law school.
  • Active license to practice law in at least one U.S. jurisdiction (Colorado or Texas admission, or ability to obtain admission, preferred).
  • 1-3 years of legal experience, preferably with an energy company or law firm representing oil and gas clients.
  • Experience drafting and negotiating commercial agreements.
  • Familiarity with upstream oil and gas operations, commercial transactions, or corporate law.

Preferred
  • Experience supporting mergers and acquisitions or complex commercial transactions.
  • Experience advising business clients in the oil and gas or energy industry.

Physical Demands and Working Conditions
Location
  • This role is based out of the BKV Office in Denver, CO or Houston, TX. Remote or hybrid work will be considered.
  • Some travel (up to 5%) may be required.

Working Conditions
  • Primarily office-based with standard business hours; extended hours may be required depending on business needs. May occasionally be exposed to distracting noise while sharing office space with others.

  • Ability to sit for extended periods of time.
  • Ability to operate a computer, telephone, and other office equipment.
