Job description

Fund Finance / Subscription Line Senior Associate Attorney or Counsel
Locations: Charlotte, NC | Philadelphia, PA | New York, NY

Direct Counsel is seeking a Fund Finance / Subscription Line Senior Associate Attorney or Counsel to join the nationally recognized Global Finance practice of a premier Am Law firm. This is an exceptional opportunity to work with a top-ranked funds finance team representing financial institutions, alternative lenders, asset managers, and investment funds in sophisticated fund-related financings and subscription line transactions.

The ideal candidate will have 4+ years of fund finance and subscription line experience with a strong background advising lenders and investment funds on complex financing transactions from structuring through closing.

Responsibilities
  • Represent financial institutions, alternative lenders, asset managers, business development companies, and investment funds in fund finance and subscription line transactions.
  • Advise clients on a broad range of fund-related financings, including subscription credit facilities, asset-backed financings, and other lending transactions involving private investment vehicles.
  • Provide strategic guidance on debt and leverage considerations during fund formation, as well as downstream financing structures and related transactions.
  • Draft, review, and negotiate credit agreements, security documents, fund finance documentation, and related transaction agreements.
  • Serve as a key member of transaction teams, managing significant portions of deals from due diligence through closing.
  • Collaborate closely with partners and clients to develop practical, business-focused financing solutions while maintaining exceptional client service.
Qualifications
  • J.D. from an accredited law school with strong academic credentials.
  • 4+ years of experience in fund finance, subscription line lending, or related finance transactions at a law firm.
  • Experience representing banks, business development companies, investment funds, or other financial institutions in asset-backed financings involving funds or private investment vehicles.
  • Demonstrated ability to independently manage key aspects of sophisticated financing transactions from due diligence through closing.
  • Excellent drafting, negotiation, analytical, and communication skills.
  • Strong attention to detail and the ability to manage multiple complex matters in a collaborative, fast-paced environment.
  • Active bar admission, or eligibility for admission, in the jurisdiction where the candidate will be based.
  • A representative deal sheet is required.
Compensation & Benefits
  • Salary: Starting at $310,000, with compensation commensurate with class year and experience.
