Job description

Am Law top 100 firm which is popular for its high-profile financial services is seeking associates to join their Financial Services group.


The ideal candidate must have 3-5 years of private fund formation experience including drafting and negotiation fund documentation (private placement memoranda, fund agreements, subscription agreements, advisory agreements, placement agreements, legal opinions, regulatory filings). Experience with fund raises from launch to close, including managing the entire project, to include interfacing with client, investor negotiation (including side letter negotiation and reviewing subscription documentation and managing subscription process), and closing mechanics. Understanding of the Investment Advisers Act and other federal securities laws, including Regulation D offering requirements, and exemptions to the Investment Company Act. Direct private funds experience is preferred, but open to strong corporate associates with an interest in private funds work. Admission to the bar of the relevant jurisdiction is preferred but not required. Large law firm experience preferred with regulatory experience is a plus
