$260,000 โ€“ $390,000+

A premier AmLaw 50 firm is seeking a Corporate Mergers & Acquisitions / Private Equity Associate Attorney to join its Dallas office.

This opportunity is ideal for an attorney interested in representing private equity sponsors, portfolio companies, strategic buyers and sellers, founders, and institutional investors in sophisticated domestic and cross-border mergers and acquisitions and private equity transactions.

Ideal Background
  • 3โ€“6 years of sophisticated corporate transactional experience gained at a national or international law firm
  • Significant experience representing private equity sponsors, portfolio companies, strategic buyers, sellers, founders, and institutional investors
  • Experience handling private equity acquisitions, leveraged buyouts, platform and add-on acquisitions, divestitures, recapitalizations, and strategic mergers and acquisitions
  • Experience drafting and negotiating purchase agreements, merger agreements, equity purchase agreements, stockholder agreements, operating agreements, disclosure schedules, and other transaction documents
  • Experience conducting legal due diligence, coordinating transaction closings, and managing multidisciplinary deal teams
  • Experience advising clients on corporate governance, joint ventures, minority investments, growth equity transactions, and general corporate matters
  • Ability to independently manage sophisticated transactions while maintaining significant client interaction
  • Strong drafting, negotiation, analytical, and client counseling skills
  • Excellent academic credentials
  • J.D. from an ABA-accredited law school required
  • Texas bar admission required or ability to become admitted
