A leading international law firm is seeking a Mid-Level Private Equity Debt Finance Associate Attorney to join its highly regarded finance practice in Philadelphia.

This opportunity is ideal for an attorney interested in representing private equity sponsors, banks, private credit funds, and other institutional lenders in sophisticated leveraged finance and acquisition finance transactions.

The Role

Private equity acquisition financings
Leveraged finance transactions
Term loan and revolving credit facilities
Private credit transactions
Sponsor-side and lender-side finance matters
Drafting and negotiating commitment papers
Drafting and negotiating credit agreements and collateral documents
Direct client interaction and substantive deal responsibility
• Collaboration with a nationally recognized private equity and finance platform

Ideal Background

• Approximately 3–6 years of finance experience
• Experience representing private equity sponsors, commercial banks, private credit funds, or other institutional lenders preferred
• Experience with leveraged buyouts, acquisition financings, corporate growth financings, and secured lending transactions strongly preferred
• Significant experience drafting and negotiating commitment papers, credit agreements, security agreements, and collateral documentation
• Strong drafting, analytical, and communication skills
• Excellent academic credentials
