The Opportunity

PSCHealth is seeking an experienced General Counsel to serve as the chief legaladvisor to the Chief Executive Officer, the executive leadership team, and theorganization’s affiliated business entities. This is a full-time, on-siteexecutive role based in Pikesville, Maryland.

TheGeneral Counsel plays a critical role in protecting and advancing the PSCHealth mission. By providing strategic legal leadership, reducingorganizational risk, and enabling responsible growth, this position helpsensure PSC Health can continue expanding its impact while maintaining thehighest standards of ethics, compliance, and corporate governance. It is anopportunity to influence enterprise-wide strategy while helping buildorganizations that improve lives every day.

What You’ll Do

  • Serve as thechief legal advisor to the Chief Executive Officer, executive leadershipteam, and affiliated business entities, providing strategic legal guidancethat supports organizational growth and long-term business objectives.
  • Providelegal counsel on corporate law, healthcare law, employment law, tax law,zoning and land use matters, regulatory compliance, corporate governance,and enterprise risk management.
  • Research,interpret, and advise leadership on federal, state, and local lawsaffecting current operations, new business ventures, acquisitions, andexpansion into new markets and jurisdictions.
  • Lead legalstrategy for mergers, acquisitions, joint ventures, entity formation,corporate restructuring, and other strategic business transactions,including legal due diligence and contract negotiations.
  • Draft,review, negotiate, and manage a broad range of legal documents includingcontracts, employment agreements, vendor agreements, leases, operatingagreements, bylaws, board resolutions, financing documents, policies, andother corporate legal instruments.
  • Providelegal guidance on employment matters including employee relations,workplace investigations, disciplinary actions, wage and hour compliance,labor law, restrictive covenants, and employment litigation.
  • Advise onhealthcare regulatory matters including licensing, reimbursement, HIPAA,privacy, behavioral healthcare regulations, corporate compliance, andpayer relationships, ensuring compliance across all affiliated entities.
  • Overseelegal matters involving real estate acquisitions, leases, zoningapprovals, permitting, land use issues, construction projects, andfacility development or expansion.
  • Identify,assess, and mitigate legal, regulatory, financial, operational, andreputational risks while managing litigation, government investigations,audits, claims, andrelationships with outside counsel and regulatoryagencies.
  • Partner withexecutive leadership and departmental leaders to develop legal strategiesthat support ethical business practices, operational excellence,organizational growth, and the long-term success of PSC Health and itsaffiliated companies.
Requirements

What You Bring

Required:

  • Juris Doctor(J.D.) from an accredited law school.
  • Activelicense to practice law and membership in good standing in Maryland andVirginia, with the ability to obtain licensure in additional jurisdictionsas needed.
  • Comprehensiveknowledge of corporate, employment, labor, and healthcare law, includingHIPAA, regulatory compliance, workplace investigations, wage and hourlaws, and employee relations.
  • Workingknowledge of corporate governance, business structures, tax concepts, realestate, zoning, land use, permitting, construction, and facilitydevelopment.
  • Expertise indrafting, negotiating, and interpreting contracts, employment agreements,corporate governance documents, operating agreements, leases, acquisitiondocuments, policies, and other legal instruments.
  • Strong legalresearch, analytical, and strategic problem-solving skills, with theability to assess risk and provide practical business-focused legalguidance.
  • Strongbusiness acumen with knowledge of organizational strategy, financialstructures, enterprise risk management, and multi-state operations.
  • Exceptionalcommunication, negotiation, conflict resolution, and relationship-buildingskills, with the ability to manage complex legal matters, maintainconfidentiality, and exercise sound professional judgment.
  • Full-time,on-site availability in Pikesville, Maryland.

Preferred

  • Ten or moreyears of progressively responsible legal experience.
  • Experienceserving as in-house counsel or General Counsel, or advising complexorganizations.
  • Experiencesupporting multiple legal entities, holding companies, or multi-stateorganizations (strongly preferred).
  • Experiencein healthcare, behavioral health, private equity, mergers andacquisitions, healthcare compliance, or corporate governance.
  • Experiencemanaging outside counsel, corporate transactions, litigation, andexecutive-level legal strategy.
Compensation and Schedule
  • Salary: $220,000 - $260,000 annually, commensurate with experience
