Introduction

Chevron Phillips Chemical is seeking a Specialist, Corporate Governance (CSO) and Ethics & Compliance to (E&C) join our team at our headquarters in The Woodlands, TX.

Responsibilities
  • Support the CSO and senior management in preparation for Board of Directors and Committee meetings, including agendas, approvals, presentation materials, meeting coordination, electronic publication of materials.
  • Maintain corporate records, including minute books, officer and director information, entity data, resolutions, written consents, and subsidiary records.
  • Assist with required corporate, regulatory, and governmental filings.
  • Administer CEO Approval Letter process, including intake, quality review, routing, tracking, and recordkeeping.
  • Train stakeholders as appropriate.
  • Develop, maintain, and update templates, procedures, records repositories, and governance documentation.
  • Administer software platforms (e.g., Diligent Boards, Navex and Conflict of Interest disclosures), including user support, reporting and analytics.
  • Monitor team mailboxes and respond or forward matters as appropriate.
  • Support administration of E&C programs, including conflicts of interest, third-party management, policy implementation, due diligence activities, and annual representation letter processes.
  • Prepare reports, presentations, and communications for management and the Board of Directors.
  • Conduct legal and factual research and make initial recommendations regarding compliance and governance matters.
  • Manage relationships with external service providers, including law firms, due diligence vendors, training providers, hotline administrators, and document management vendors.
  • Update E&C and CSO workplans on weekly basis.
  • Drive timely completion of critical cross-functional work product, including communicating with and securing cooperation from directors, senior management, and other stakeholders throughout the worldwide enterprise in relation to corporate governance materials.
  • Support general operations of the CSO and E&C function, including vendor administration, meeting coordination, training support, notarization, correspondence, and document preparation.
Required Qualifications
  • Associate degree or paralegal certificate.ย 
  • Minimum of 5 years of law firm or corporate law department experience as a legal assistant, paralegal, or corporate governance professional; provided that, at least 2 years of such experience must include direct responsibility for corporate governance matters, including board meeting support and maintenance of corporate records for a complex business organization.ย 
Preferred Qualifications
  • Bachelor's Degree.
  • Experience at Am Law 200 law firm and/or Fortune 500 company as a legal assistant, paralegal, or corporate governance professional handling projects that require a high-level of attention to detail (e.g., M&A, capital markets, finance, restructuring).
  • Demonstrated proficiency in Diligent Boards, Boardvantage, hCue, DocuSign, SharePoint, PowerPoint, Excel and other Microsoft Office Suite applications.
  • Well-developed legal research skills.
  • Exposure to the oil and gas or chemical industry
