A highly respected national law firm is seeking a Capital Markets Associate Attorney to join its Houston office.

This opportunity is ideal for an attorney interested in representing public companies, investment banks, private equity sponsors, and other market participants in sophisticated capital markets and securities transactions.

Ideal Background

2–6 years of capital markets, securities, or corporate transactional experience gained at a sophisticated law firm

• Experience representing public companies, issuers, underwriters, investment banks, private equity sponsors, and other market participants

• Experience handling public and private offerings of equity and debt securities, including IPOs, follow-on offerings, and other capital raising transactions

• Experience advising clients regarding SEC reporting and compliance obligations, including Forms 10-K, 10-Q, 8-K, proxy statements, and other Exchange Act reporting requirements

• Experience with corporate governance, stock exchange compliance, and securities law matters

• Experience drafting and negotiating registration statements, offering documents, underwriting agreements, and related transaction documentation

• Experience advising boards of directors and management teams on ongoing public company matters is preferred

• Strong drafting, analytical, organizational, and communication skills

• Ability to manage sophisticated transactions while working directly with clients and deal teams

• Excellent academic credentials

J.D. from an ABA-accredited law school required

Texas bar admission required or ability to become admitted
