Corporate Energy Associate Attorney

Direct Counsel is seeking a Corporate Energy Associate Attorney to join a leading AmLaw 100 law firm’s Corporate practice. This is an excellent opportunity for a junior transactional attorney to work with sponsors, developers, investors, and financial institutions on sophisticated energy, infrastructure, and corporate transactions.

The ideal candidate will have strong transactional experience, excellent academic credentials, and the ability to immediately contribute to a sophisticated practice. Experience with renewable energy, energy transition matters, tax credit transactions, and cross-border matters is preferred.

Responsibilities
  • Advise sponsors, developers, investors, financial institutions, and other clients on complex energy, infrastructure, and corporate transactions.

  • Support mergers and acquisitions, project development, project finance, joint ventures, and strategic investments.

  • Conduct thorough legal research and analysis to support transaction preparation and strategy.

  • Draft, review, and negotiate sophisticated legal documents, including agreements, contracts, memoranda, and correspondence.

  • Assist with the management and execution of complex transactions from inception through closing.

  • Participate in negotiations, client calls, meetings, closings, and other significant legal activities.

  • Develop and maintain strong relationships with clients and other transaction stakeholders.

  • Collaborate with attorneys and business professionals across practice groups to develop effective transaction strategies.

  • Monitor developments in applicable laws, regulations, and legal precedents.

  • Contribute to professional development initiatives, pro bono matters, and firm and community activities.

Qualifications
  • J.D. from an accredited law school.

  • Admission to practice in California required.

  • 1–3 years of corporate, energy, or infrastructure transactional experience.

  • Experience with M&A, project development, project finance, and/or joint venture transactions.

  • Excellent academic credentials, preferably from a nationally recognized law school.

  • Strong legal research, writing, drafting, negotiation, and analytical skills.

  • Excellent written and verbal communication abilities.

  • Strong attention to detail and organizational skills.

  • Sound business and professional judgment.

  • Ability to work effectively both independently and collaboratively in a fast-paced environment.

Compensation & Benefits

The anticipated salary range for this position is $225,000–$260,000 per year, depending on geographic market, experience, skills, educational and professional background, and overall qualifications. Work Arrangement

This position offers a hybrid work arrangement, with regular in-office presence and some flexibility for work-from-home.
