Commercial Contracts Counsel

Nutrient

Job description

About Nutrient
At Nutrient, we're revolutionizing how the world works with documents. Our tools transform static files into intelligent, secure workflows, empowering businesses to innovate faster and smarter. Trusted by thousands of organizations across 80 countries, our products streamline processes, accelerate digital and AI-powered transformation, and unlock new possibilities.
Whether you're navigating complex commercial agreements or helping shape legal infrastructure for a high-growth company, joining Nutrient means supporting the technology that already touches nearly a billion end users worldwide, including Fortune 500 firms, government entities, and industry pioneers.
Your Role at Nutrient...
As a Commercial Contracts Counsel, you'll be a core member of the Legal team, reporting directly to the COO and responsible for drafting, reviewing, and negotiating the full range of commercial agreements that support Nutrient's global customer base. You'll work directly with Sales, Finance, and Business Operations to move deals forward efficiently while protecting the company's interests.
This isn't a role where you'll be handed a comprehensive playbook and told to execute it. You will help build the playbook, own the commercial contracts function end to end, and serve as a genuine legal partner to Sales, Finance, and Leadership across a wide range of business matters. If you're energized by that kind of scope and want to grow in a fast-paced, entrepreneurial, and AI-native environment where your work shapes how the company operates and scales, we'd love to talk to you.
What You'll Work On...
  • Drafting, reviewing, and negotiating a full range of commercial agreements: MSAs, order forms, SaaS subscription agreements, pricing amendments, multi-year commitments, and related contract documents across Nutrient's lines of business as well as for our own internal tool and service procurement.
  • Negotiating directly with enterprise customers on licensing terms, data processing agreements, security addenda, and compliance requirements.
  • Driving process innovation across the Legal function, with a strong bias toward AI-native tooling, automation, and systems thinking that multiply your output and reduce friction for Sales.
  • Supporting renewal and upsell transactions, including pricing amendments, scope changes, and multi-year commitments.
  • Drafting and maintaining negotiation playbooks, pre-approved positions, and agreement frameworks that empower Sales to move quickly and close confidently.
  • Advising on regulatory developments affecting contract terms, including GDPR, DORA (EU Digital Operational Resilience Act), US state privacy laws, and the European Accessibility Act.
  • Advising on contract enforcement matters and supporting the Finance team with legal escalation procedures as needed.
What You'll Bring...
Required Experience, Skills, and Attributes:
  • JD from an accredited law school and active membership in good standing in at least one US state bar, preferably North Carolina.
  • 2+ years of relevant legal experience (whether in-house, at a law firm, or a combination). Relevant non-legal business experience can also be counted towards this requirement.
  • Exposure to international legal/commercial terms, particularly those relevant to SaaS contracts.
  • Familiarity with AI tools in a legal context, and the judgment to know when to use them, when to verify them, and how to leverage them to deliver faster, better work.
  • Demonstrated ability to independently negotiate, draft, and finalize complex contractual arrangements with meticulous attention to detail.
  • Excellent written and verbal communication skills, with the ability to translate complex legal concepts into practical business guidance.
  • A track record of independently negotiating and finalizing complex contracts, with experience building the processes and templates that make future deals faster and more consistent

We actively welcome applications from law firm practitioners looking to make the move in-house. If you've been doing the work without the in-house title, this role is open to you.
Strongly Preferred:
  • Background in IP/software licensing, data privacy, or information security compliance.
  • Experience with international customers or clients and multi-jurisdictional deal structures.
  • Familiarity with EU regulatory frameworks (GDPR, DORA, European Accessibility Act) and their impact on commercial contract terms.
  • Experience with contract management tools, Jira-based legal ops workflows, or similar ticketing systems.
  • In-house experience at a B2B software or technology company.
Who Thrives Here...
At Nutrient, we're not just hiring for skills - we're hiring for mindset. The people who thrive here are:
  • Collaborators: You collaborate openly, listen actively, and prioritize team success over ego.
  • Hungry Learners: Rapid learning fuels progress and career growth.
  • Curious Thinkers: You dig deep to uncover the "why," valuing understanding over simply being right.
  • Self-Starters: You take action without waiting for direction, turning obstacles into opportunities with creativity and persistence.
  • Owners: You take responsibility for solutions and outcomes, always looking for ways to improve what's within your control.
  • Doers: You're energized by progress, motivated to create meaningful impact, and eager to tackle challenges.
Why You'll Love Working Here...
At Nutrient, we tackle complex challenges to build tools that reshape how businesses and developers interact with documents. Our culture fosters continuous growth and collaboration, ensuring every team member has the opportunity to learn, innovate, and drive meaningful change.
This role reports directly to the COO and provides genuine visibility and influence over how the business operates and scales. This is not a back-office function; you'll be a decision-making partner at a company with real traction, having more than doubled revenue over the past three years, backed by Insight Partners, and trusted by 15% of the Global 500 across 80 countries.
We are headquartered in Raleigh, NC. We embrace a low-meeting culture and prioritize asynchronous communication to provide flexibility and focus.
We offer competitive salaries, comprehensive benefits, and an annual global retreat to celebrate achievements and foster connections. Past retreats have taken place in locations like Croatia, Spain, and Greece.
Nutrient believes in equal opportunity. We employ people from many different cultures and countries. We celebrate diversity and are committed to building a team that represents a variety of backgrounds, skill sets, and perspectives, as well as providing our employees with a work environment free of harassment. We do not discriminate on the basis of race, color, religion, age, marital status, national origin, ancestry, physical or mental disability, medical condition, sexual orientation, gender identity or expression, or any other non-merit factor.
