Role Summary
Anuvu is seeking a detail-oriented and proactive Corporate Paralegal with 2-3 years of experience to join our dynamic legal team. The successful candidate will support corporate governance, legal operations, compliance, treasury-related KYC activities, and transactional matters while ensuring the efficient functioning of our legal operations. This role offers the opportunity to work in a collaborative environment with exposure to various facets of corporate law, legal operations, and compliance.
Location: Hybrid role, Houston, TX
What You'll Be Doing
Corporate Governance:
  • Maintain and update corporate records, including minute books, board resolutions, written consents, officer appointments, annual corporate records, governance documents, and subsidiary governance files.
    Create and maintain corporate organizational charts reflecting ownership structures, directors, officers, and reporting relationships.
    • Maintain current director, officer, registered agent, and key contact lists for all legal entities.
    • Organize and maintain legal entity records within the Legal Department's document management system, including creating and maintaining dedicated subsidiary folders containing formation documents, governance records, and current director/officer listings.
    • Coordinate annual corporate maintenance activities and support entity compliance requirements and governance-related filings.

Treasury & KYC Support:
• Serve as a primary legal contact for treasury and banking-related Know Your Customer (KYC) requests.
• Coordinate the collection and maintenance of organizational charts, governance documents, beneficial ownership information, and other supporting documentation required by financial institutions and third parties.
• Partner with Treasury, Finance, and external stakeholders to ensure timely completion of entity verification and compliance requests.
Compliance Support:
  • Oversee and monitor the Legal Compliance inbox/alias, triaging requests and coordinating responses with appropriate stakeholders.
  • Assist in monitoring and maintaining compliance with regulatory requirements and corporate policies.
  • Support internal compliance initiatives, due diligence requests, audits, sanctions screenings, and policy administration.
  • Prepare and file corporate reports, including annual reports and other filings with governmental agencies.

Legal Documentation:
  • Draft, review, and revise routine contracts, non-disclosure agreements, and other legal documents as requested.
  • Conduct research and provide summaries on various legal and regulatory topics.

Legal Operations:
  • Support legal operations initiatives, including document management, process improvements, reporting, and maintenance of legal department records.
  • Assist with purchase order (PO) administration and invoice processing for legal department vendors and smaller outside service providers.
  • Maintain and organize the Legal Department's document management structure, including entity-specific repositories, governance records, subsidiary documentation, and other legal department files to ensure accuracy, accessibility, and compliance with record retention requirements.
    Track contract execution status, maintain contract records, and assist with contract lifecycle administration.

Cross-Functional Collaboration:
  • Liaise with internal departments and external counsel to support legal and business initiatives.
  • Serve as a resource for team members on corporate legal matters.

Transaction Assistance:
  • Support corporate transactions such as mergers, acquisitions, and financing deals by organizing and managing due diligence, preparing documentation, and coordinating closing activities.

What We're Looking For
  • Bachelor's degree or equivalent experience. Paralegal certification preferred.
  • 2-3 years of corporate paralegal experience, ideally within a corporate legal department or law firm.

Skills and Competencies:
  • Strong organizational skills and attention to detail.
  • Excellent written and verbal communication abilities.
  • Proficiency in Microsoft Office Suite (Word, Excel, PowerPoint) and familiarity with legal research tools.
