Job description

Position Description: Motos America is a dynamic and rapidly growing motorsports company committed to excellence and innovation. We are seeking a highly skilled and experienced Corporate Legal Assistant to join our team.
Position Overview:
As a Corporate Legal Assistant at Motos America, you will play a vital role in assisting the Chief Legal and Compliance Officer in a wide range of legal and compliance matters. The successful candidate will have a minimum of 5 years of experience in corporate law, either in-house or in a law firm corporate department and will be responsible for providing efficient and effective legal support to our organization. In addition, this position will assist with various HR policies, processes and procedures and may assist other members of the Executive Team if time permits.
Key Responsibilities:
- Assist in drafting, reviewing, and editing various legal documents, including contracts, other agreements, and corporate policies.
- Conduct legal research and analysis to support the legal team's decision-making process.
- Manage and maintain corporate records, including minute books, corporate filings, and related documentation.
- Assist in the organization and execution of board governance matters, including the preparation of board materials, agendas, and resolutions.
- Coordinate and facilitate board meetings, ensuring timely distribution of meeting notices and materials to board members.
- Maintain and update corporate records related to board actions, resolutions, and governance matters.
- Assist with human resource policies, procedures, and practices, maintain accurate HR records, assist with onboarding/offboarding and employee relations, on an as-needed basis.
- Work closely with the Chief Legal and Compliance Officer to ensure that the company complies with all corporate governance requirements and best practices.
- Assist in the preparation and filing of regulatory documents and compliance reports.
- Support the legal team in due diligence processes for mergers, acquisitions, and other corporate transactions.
- Coordinate and communicate with external legal counsel and other stakeholders.
- Handle other administrative tasks and projects as assigned by the Chief Legal and Compliance Officer and assist other Executive Team members on various projects as-needed and as time permits.
Qualifications:
- Bachelor's degree in Paralegal Studies or related field, or bachelors degree and Paralegal certificate
- A minimum of 4- 5 years of experience as a legal assistant, preferably in a corporate law firm and/or in-house legal department, experience working with or in human resources is a bonus.
- Strong knowledge of corporate law, governance, and compliance, with some knowledge of human resources and/or employment law preferred.
- Proficiency in legal research and document management.
- Excellent organizational and time-management skills.
- Strong written and verbal communication skills.
- Detail-oriented with the ability to work independently and collaboratively.
- Proficiency in Google Workspace, Microsoft Office Suite, and legal research tools.
- Ability to handle sensitive and confidential information with discretion.
