Job description

Piper Companies is seeking a Director, Corporate Governance & Securities Counsel to join a leading publicly traded healthcare technology company located in Tempe, AZ who can work onsite five days per week . The ideal Director, Corporate Governance & Securities Counsel will serve as a strategic legal advisor responsible for corporate governance, securities compliance, SEC reporting, board governance, subsidiary governance, and legal transformation initiatives supporting a global public company. Responsibilities of the Director, Corporate Governance & Securities Counsel: * Lead governance processes supporting the Board of Directors and Board committees. * Prepare and review Board and committee agendas, materials, resolutions, meeting minutes, and annual shareholder meeting documentation. * Drive continuous improvement of corporate governance frameworks, policies, and best practices. * Lead SEC reporting and disclosure processes, including Forms 10-K, 10-Q, 8-K, S-8, and Proxy Statements. * Oversee insider trading compliance, Section 16 filings, Rule 144 matters, and 10b5-1 trading plans. * Monitor SEC regulations, Nasdaq listing standards, SOX requirements, and governance developments. * Partner with Finance, Treasury, Investor Relations, Tax, HR, and executive leadership on governance and disclosure matters. * Support earnings preparation activities, disclosure reviews, earnings releases, and investor communications. * Advise on financing arrangements, debt transactions, investments, and related corporate matters. * Lead global subsidiary governance, entity management, compliance reviews, and governance reporting initiatives. * Drive legal operations improvements through AI, automation, and digital transformation initiatives. * Manage outside counsel relationships and support strategic corporate transactions and restructuring activities. Qualifications of the Director, Corporate Governance & Securities Counsel: * 12+ years of corporate legal experience in a law firm, publicly traded company, or a combination of both. * Must be eligible to work in the United States and obtain and maintain an Active U.S. Government Secret Clearance. * Extensive experience with SEC reporting, securities law compliance, corporate governance, and Board matters. * Strong knowledge of SEC regulations, Nasdaq listing standards, SOX, Dodd-Frank, and insider trading regulations. * Experience supporting proxy statements, annual shareholder meetings, and public company governance activities. * Proven ability to advise executive leadership on complex governance, disclosure, and compliance matters. * Experience partnering with Finance, Treasury, Investor Relations, Tax, Human Resources, and executive leadership teams. * Experience managing outside counsel and legal budgets. * Demonstrated success leading cross-functional initiatives and process improvement efforts. * Experience utilizing legal technology, automation tools, AI solutions, Workiva/Wdesk, Intelligize, or similar platforms preferred. * Juris Doctor (JD) degree from an accredited law school and active license to practice law in at least one U.S. jurisdiction. Compensation for the Director, Corporate Governance & Securities Counsel includes: * Salary range: $190,000 - $250,000 annually depending on experience * Comprehensive benefits package including medical, dental, vision, 401(k), paid time off, employee assistance programs, and additional voluntary benefits.
