Job Details Position Summary

Cubic Transportation Systems (CTS) is seeking a highly strategic, business-oriented legal executive to serve as Vice President & General Counsel, North America. This leader will serve as the principal legal advisor for CTS's North American operations, partnering closely with executive leadership to support business growth, manage risk, and ensure compliance across a complex transportation technology environment. Reporting to Cubic Corporation's General Counsel and serving as a key member of the North America leadership team, this individual will provide counsel on commercial transactions, public sector contracting, regulatory compliance, litigation and claims management, governance, ethics, and strategic business initiatives. The successful candidate will be a trusted advisor capable of balancing legal risk with commercial objectives while helping drive organizational success.

Key Responsibilities
  • Serve as the primary legal advisor to CTS North America leadership on strategic business, operational, commercial, and regulatory matters.
  • Draft, review, negotiate, and administer complex agreements, including:
    • Public sector and government contracts
    • Transit agency agreements
    • Technology licensing and SaaS agreements
    • Vendor and supplier contracts
    • Strategic partnership agreements
    • Intellectual property agreements
    • Data privacy and cybersecurity contracts
  • Lead dispute resolution, litigation strategy, claims management, and regulatory investigation activities across North America.
  • Advise business leaders on contract risk, commercial strategy, governance, ethics, and compliance matters.
  • Support high-value customer negotiations and strategic business initiatives.
  • Interpret and advise on transportation industry regulations, public procurement requirements, government contracting rules, and emerging regulatory frameworks.
  • Direct ethics and compliance programs and oversee internal investigations.
  • Collaborate with Human Resources, Finance, Integrated Supply Chain, Information Technology, and other business functions to provide proactive legal guidance.
  • Manage outside counsel relationships and legal budgets to ensure efficient delivery of legal services.
  • Develop practical and commercially focused legal solutions that support operational objectives while minimizing corporate risk.
Required Qualifications

Key Skills & Qualifications

  • Juris Doctor (JD) from an American Bar Association-accredited law school.
  • Active membership in good standing with a U.S. state bar.
  • Ability to register as in-house counsel in California if required.
  • Minimum of 15 years of progressive legal experience, including significant experience supporting complex commercial organizations.
  • Extensive experience negotiating, drafting, and managing sophisticated commercial and government contracts.
  • Strong background in public procurement, government contracting, and regulatory compliance.
  • Experience advising executive leadership on strategic business and operational decisions.
  • Demonstrated expertise in claims management, dispute resolution, investigations, and litigation oversight.
  • Strong understanding of corporate governance, ethics, risk management, and compliance frameworks.
  • Exceptional written, verbal, negotiation, and executive presentation skills.
  • Proven ability to exercise sound judgment in complex and high-profile situations.

Cubic Pay Range

$300,000.00 - $340,000.00* + benefits.

  • Our compensation reflects the cost of labor across several US geographic markets. The base pay for this position ranges from our lowest geographic market up to our highest geographic market.

The Cubic pay range for this job level is a general guideline only and not a guarantee of compensation or salary. Additional factors considered in extending an offer include (but are not limited to) responsibilities of the job, education, experience, knowledge, skills, and abilities, as well as internal equity, alignment with market data, applicable bargaining agreement (if any), or other law.
