Job description

Echo Base is a private holding company pursuing special situation control investments in the digital assets space. Its global crypto team possesses deep experience in both the scaling of new ventures and the restructuring of complex assets. Echo Base seeks to leverage operational and technical synergies across its portfolio companies to drive innovation.

About the Role

Echo Base is looking for a seasoned Senior Counsel, Legal to join our legal team. Reporting directly to the General Counsel, you will be Echo Base’s principal in-house legal advisor for commercial and corporate matters including strategic investments, partnerships, joint ventures, and mergers and acquisitions. We will require a highly qualified, team-oriented transactional attorney with significant experience in complex contracts and transactional documentation.

Key Responsibilities:
  • Serve as the primary in-house attorney for corporate projects, managing multiple simultaneous transactions, including acquisitions of crypto startups or platforms, mergers between blockchain-based companies to consolidate technology or market presence, and sales of tokenized assets or intellectual property.
  • Act as the primary legal advisor for corporate transactions, including financings, acquisitions, divestitures, and joint ventures, while supporting corporate development activities such as equity financings, acquisitions, acquihires, and strategic partnerships at all stages. This includes conducting due diligence, drafting and negotiating definitive documentation, managing transaction closings, and overseeing post-closing integration.
  • Cross-Border Deals: Structure, negotiate, and document international partnerships and other relationships, with a strong focus on the crypto ecosystem.
  • Project Management: Lead and manage multiple projects efficiently, providing counsel on complex legal, compliance, and business issues.
  • Support General Counsel on all corporate matters, including but not limited to, data privacy, regulation, governance, litigation, contracts, labor and compensation.
Candidate Requirements:
  • 5-8+ years of relevant experience at a top law firm, with significant experience working with large companies.
  • Prior in-house experience at a financial technology company is a plus.
  • Strong interest in cryptocurrency, blockchain technology, and their evolving legal and regulatory landscapes is a plus.
  • Excellent negotiation, drafting and project management skills.
  • Excellent judgement, analytical rigor, and business pragmatism.
  • Experience communicating with cross-functional teams.
  • Very strong attention to detail and ability to stay organized in a fast-paced environment.
  • Must be active and in good standing in one State Bar in the United States.
