Position Summary
Toshiba is seeking a detail-oriented and business-minded Contract Administrator to support the preparation, review, negotiation, administration, and management of a wide range of commercial agreements. This role helps ensure contractual compliance, mitigates risk, maintains accurate contract records, and supports internal stakeholders throughout the contract lifecycle. The ideal candidate demonstrates strong contract review and redlining skills, sound business judgment, and the ability to balance operational needs with corporate risk tolerance.
Key Responsibilities
  • Prepare, review, administer, and maintain a variety of commercial contracts.
  • Review, redline, negotiate, and process routine Non-Disclosure Agreements (NDAs) and other standard form agreements.
  • Apply approved negotiation guidelines and fallback positions to contract reviews and negotiations.
  • Identify contractual risks and escalate non-standard or high-risk provisions to Legal Counsel when appropriate.
  • Maintain accurate contract records and ensure compliance with established contract management processes.
  • Collaborate with attorneys, business units, suppliers, customers, and external counterparties to facilitate contract execution and issue resolution.
  • Support negotiations involving customers, suppliers, and strategic business partners.
  • Verify legal entity information, contract data, and supporting documentation for accuracy and completeness.
  • Review documents for contractual, formatting, and grammatical accuracy.

Required Qualifications

  • Experience preparing, reviewing, administering, and maintaining business contracts.
  • Proficiency in Microsoft Word, including redlining and document revision capabilities.

Preferred Qualifications
  • Experience with Contract Lifecycle Management (CLM) systems, contract repositories, workflow management tools, reporting, data quality review, and stakeholder support.
  • Familiarity with CLM platforms such as Ironclad.
  • Experience in a manufacturing environment.
  • Comfort using AI and modern technology to assist with contract review and administration activities.

Knowledge, Skills & Abilities
  • Strong attention to detail with the ability to identify inconsistencies, missing provisions, and unfavorable contract language.
  • Understanding of core NDA provisions, including confidentiality obligations, term, purpose, disclosure requirements, governing law, venue, and recipient restrictions.
  • Strong risk assessment and decision-making capabilities with the judgment to recognize issues requiring legal review.
  • Excellent written and verbal communication skills with the ability to clearly explain negotiation positions, revisions, and business impacts.
  • Ability to work independently while following established playbooks, workflows, and corporate policies.
  • Strong organizational skills and commitment to maintaining accurate contract records and data integrity.
