Job description

Position Summary
The Corporate Counsel 2 position provides transactional legal support to Barton Malow Holdings LLC and its affiliates (the "Company"). This role serves as a legal partner to project teams and business stakeholders across all phases of the project lifecycle, from pursuit through closeout. The Corporate Counsel 2 negotiates and drafts complex commercial agreements, advises on compliance issues, develops contract playbooks and standard forms, and leverages contract lifecycle management (CLM) technology to drive consistency and efficiency across the Company's contracting processes. This position also supports in-house litigation counsel on dispute workup and fact-finding as needed.
Key Job Responsibilities
The Key Job Responsibilities described are not a comprehensive list - additional tasks may be assigned to the team member and the scope of the job may change as necessitated by business demands.
  • Partners with project teams and business stakeholders across all phases of the project lifecycle, from RFP and pursuit through project closeout, providing legal guidance and contract support at each stage.
  • Negotiates and drafts complex commercial agreements, including prime/owner contracts, vendor and subcontractor agreements, professional services agreements, and confidentiality agreements.
  • Collaborates with internal stakeholders across the Company to proactively address and resolve potential disputes while ensuring alignment with business objectives.
  • Provides legal advice and consultation to Company leadership on a variety of industry, business, and other regulatory matters.
  • Develops and maintains contract playbooks, clause libraries, and standard form agreements to promote consistency, reduce risk, and accelerate the contracting process.
  • Utilizes and administers the Company's contract lifecycle management (CLM) platform to manage contract workflows, approvals, and repository organization.
  • Develops and oversees preventative legal and compliance education on relevant business and legal topics for Company team members.
  • Completes any special projects as assigned by members of the Legal and Risk Department.

Required Knowledge, Education, Experience, Skills, and Abilities
  • Juris Doctor from an accredited law school.
  • Licensed and in good standing to practice law in at least one US state.
  • Eight to ten years of experience in a law firm or in-house counsel setting.
  • Construction law experience required, including construction contract drafting and transactional construction experience; experience in the energy and power sectors is preferred.
  • Experience with contract lifecycle management (CLM) platforms.
  • Excellent communication and interpersonal skills.
  • Demonstrated ability to effectively collaborate with cross-functional teams.
  • Strong experience prioritizing tasks and managing multiple projects simultaneously.
  • Sound judgment, analytical thinking, and problem-solving abilities.
  • Growth mindset with a willingness to learn new legal technologies, embrace process improvement, and adapt to evolving business needs.
  • High ethical standards and a commitment to maintain confidentiality and integrity.

Work Environment / Job Conditions
  • Travel for project assignments may be required based on Company needs.
