We are seeking a detail-oriented Contracts Manager to oversee the drafting, negotiation, and management of contracts, ensuring compliance with company policies and legal requirements. The ideal candidate will collaborate with internal teams and external partners to mitigate risks and optimize contract performance.


Responsibilities:

  • Contract review, negotiation and administration – USG Contracts, Subcontracts (as both Prime and Sub), Statements of Work, Teaming Agreements, Purchase Orders, NDAs, Licensing Agreements, Vendor Contracts, etc.
  • Proposal Development and Drafting – act as subject matter expert for pre-award through post-award proposal support, problem solving and contract administration.
  • Analyze significant contract requirements, special provisions, terms and conditions to ensure compliance with applicable laws, rules and regulations.
  • Provide contractual advice and recommendations to identify, mitigate and resolve contractual risk.
  • Compliance with FAR/DFAR and other agency supplements.
  • Identify, review, and recommend solutions to mitigate Organizational Conflicts of Interest.
  • Ensure compliance with terms of RFP, RFI or other similar customer requests for company responses.
  • Organize, manage and maintain contract files.
  • Advise Program Management team of rights and obligations under contract terms.
  • Support legal department as required.
  • Support Corporate Development/M&A, including due diligence and post-closing integration.
  • Assist with entity formation, dissolution, and corporate maintenance across multiple jurisdictions.
  • Keep abreast of evolving government regulations and industry trends.

Qualifications:

  • A minimum of 5 years of experience with government contract management.
  • Top Secret security clearance (or eligibility to obtain TS clearance)
  • Understanding of federal contracting principles, including FAR/DFARs, ITAR, OCIs and other contract vehicle management.
  • Experience reviewing, drafting responses to, and negotiating USG and commercial contracts.
  • Understanding of government procurement regulations and contract law.
  • Experience with USG T&M, Fixed Price, and Cost Reimbursement Contracts, including OTAs.
  • Team Player
  • Understanding cost accounting principles.
  • Organized and systematic approach to task management.
  • Excellent communication skills.
