Job description

Responsibilities
  • Manage contract administration throughout the full contract lifecycle, from intake, drafting, review, and negotiation through approval, execution, renewal tracking, and document retention
  • Draft, review, revise, and finalize customer agreements, vendor agreements, nondisclosure agreements, amendments, addenda, and related commercial documents
  • Customize standard templates and draft non-standard or conditional clauses to address business requirements
  • Identify conflicts, legal concerns, and material deviations and elevate issues to counsel as appropriate
  • Maintain complete and accurate records in the contract lifecycle management system and related repositories
  • Track key dates, obligations, status, approvals, executed documents, and supporting correspondence
  • Prioritize contract requests based on legal and business risk, urgency, and strategic importance
  • Monitor work in process, follow up on outstanding actions, and communicate status updates to stakeholders
  • Evaluate and improve contracting workflows, templates, quality-control practices, reporting, data storage, and system functionality
  • Serve as a liaison among Legal, Sales, Finance, Licensing, Compliance, IT, Accounting, and other teams
  • Gather information and research, resolve contract issues, support compliance requirements, provide project, litigation, and information management, and ensure timely completion of activities
  • Protect confidential and privileged information and ensure compliance with company policies, laws, regulations, and record-retention standards
  • Perform other related duties and special projects as assigned
Requirements
  • Bachelor's degree in Business Administration, Contract Management, Supply Chain, Finance, Legal Studies, or a related field, or equivalent combination of education and experience
  • Paralegal certificate or comparable recognized paralegal credential preferred
  • Minimum 3-5 years of progressive experience in commercial contract administration, contract management, legal operations, procurement, compliance, or related business functions
  • Working knowledge of commercial contracting principles, contract lifecycle management, records management, governance controls, approval workflows, and business risk assessment
  • Strong issue-spotting and analytical skills, with judgment to distinguish business concerns from legal risk and elevate matters appropriately
  • Advanced proficiency in Microsoft Word and Excel
  • Ability to learn and effectively use new legal, workflow, and reporting technologies
  • Excellent written and verbal communication skills
  • Strong organization, prioritization, follow-through, attention to detail, and accuracy
  • High integrity, professionalism, discretion, and ability to handle sensitive and confidential information
  • Ability to work independently with general direction, balance competing priorities, meet deadlines, and adapt as business needs and processes evolve
