Job description

The Contract Paralegal reports to Executive Vice President ‘EVP’ of DermCare Management, Inc. The role will support senior management with tasks and duties such as drafting, managing and organizing agreements and templates. These include employment agreements, purchase agreements, purchase agreements, vendor contracts and related legal documents in the transaction and operations arena for a busy physician practice management company management company. Role may also provide support for risk, litigation and related matters as the company grows.
The role interacts with healthcare professionals and senior operators managing various agreements with healthcare staff and providers. . This role assists in contract ownership, presentation to professionals, some limited negotiation and related work. The role will also assist in asset purchase agreement reviews, transaction assistance with due diligence, document reviews and related legal matters.

The role has autonomy managing contract and document processes which requires a high level of multi-tasking and project management ability, detail oriented with the ability to work in a friendly, fast-paced environment.

Essential Duties amp; Responsibilities:
• Maintain excellent organizational and time management skills. Ability to manage multiple tasks and deadlines throughout the day
• Draft various physician agreements which include and related healthcare service agreements and deal documents
• Draft correspondence and amendments to existing agreements
• Act as liaison with external counsel and internal business partners on matters of entity management and corporate compliance. Manage Company’s corporate entities, including minutes and corporate records (both physical and electronic).
• Assist with document management systems, cloud-based library and storage systems for contract lifecycle management
• Provide Leadership in special Company-wide initiatives, as assigned by EVP and Executive Management. Provide business-related advice and guidance to management based on guidance from outside Counsel.

Assist with and understand key agreement terms such as payment terms, non-compete restrictions and related items
• Exhibit expertise on standard terms and negotiation points
• Able to resolve matters diplomatically and efficiently among internal and external parties
•Work directly with field operators to obtain drafting guidance
•Help organize agreement review process and maintain tracking sheets
Experience:
• 2+ years of experience in a corporate, governmental, or firm environment
• Healthcare or regulated industry experience preferred
• High proficiency in MS Word, Excel, PowerPoint, and Outlook required
Education:
•Bachelor’s Degree
•State Certified Paralegal
