Strategic Impact of the Role: eBay's dynamic global Technology, Marketing, & Commercial Contracts Legal team is seeking an enthusiastic Commercial Counsel to join our team in either Salt Lake City, UT or Austin, TX. This hybrid role requires in-office presence at least three days a week. You will immerse yourself in our business, lead contract negotiations, and provide crucial commercial insights that directly influence our strategic direction. This position involves providing legal counseling and collaborating directly with business units to ensure alignment with business goals and objectives. You will have a direct seat at the table, collaborating with cross-functional leadership on deals that shape our global e-commerce strategy.
Key Responsibilities
  • Review, draft, and negotiate complex commercial agreements, including, software licenses/SaaS, marketing, main service agreements, Statements of Work, professional services, and data privacy agreement.
  • Identify and mitigate legal and regulatory risks, including those related to data and privacy protection, security, and AI.
  • Assess legal risks, offering practical guidance on risk management, policy compliance, and contractual obligations.
  • Cultivate strong, collaborative relationships with strategic business partners (including, security, privacy, procurement, finance, and senior leadership), to align legal strategies with business goals for cohesive operations.
  • Undertake special projects and tasks as needed, addressing unique legal challenges and supporting new business initiatives.
  • Use AI tools to enhance legal service delivery and identify creative, responsible ways to improve efficiency, quality, and business support, in reviewing, drafting, and redlining agreements, while applying sound legal judgment to validate AI-generated work.
  • Stay current on relevant laws, regulations, and industry trends impacting commercial contracts.

Basic Qualifications:
  • J.D. degree from an ABA accredited law school (or foreign equivalent) and in good standing with a US state bar.
  • 6+ years of negotiating and drafting expertise in sophisticated commercial transactions including software licenses/SaaS, main service agreements, Statements of Work, professional services, and data privacy agreements.
  • Some travel required.

  • Experience drafting and negotiating commercial transactions in an in-house setting.

  • Commercially minded, balancing risk with business objectives.

Additional Details
The base pay range for this position is expected in the range below:
$111,200 - $190,100
Base pay offered may vary depending on multiple individualized factors, including location, skills, and experience. The total compensation package for this position may also include other elements, including a target bonus and restricted stock units (as applicable) in addition to a full range of medical, financial, and/or other benefits (including 401(k) eligibility and various paid time off benefits, such as PTO and parental leave). Details of participation in these benefit plans will be provided if an employee receives an offer of employment.
If hired, employees will be in an "at-will position" and the Company reserves the right to modify base salary (as well as any other discretionary payment or compensation program) at any time, including for reasons related to individual performance, Company or individual department/team performance, and market factors.
