Position Summary

As Coalfire's Contracts Negotiator, Global Transactions you will join the Legal & Compliance department and will be responsible for supporting the company contract management, administration and negotiation process for global revenue transactions and assisting with overflow procurement transactions. The Contracts Negotiator will assist in the defining and executing policy, templates, risk posture, negotiation guidelines, and processes related to contract administration, review and negotiation. The Contracts Negotiator will provide legal support to the teams dedicated to revenue and procurement contracts.

What You’ll Do
  • Primarily tasked with reviewing, negotiating and drafting contracts for Coalfire’s products and services in accordance with company guidelines
  • Review, draft and negotiate a wide range of commercial agreements including Master Services Agreements (MSAs), Statements of Work (SOWs), Order Forms, Non-Disclosure Agreements (NDAs), Subcontractor Agreements, Teaming Agreements, Professional Services Agreements, SaaS and Software License Agreements, Data Processing Agreements (DPAs), Business Associate Agreements (BAAs), Channel and Reseller Agreements, government contracts and task orders, and vendor and procurement agreements
  • Provide legal support the teams dedicated to revenue and procurement contracts
  • Recommend negotiation strategies and techniques to internal business partners during the contract negotiation, administration and management processes
  • Support the development, enhancement and execution of internal policies, guidelines, and exceptions in the contracting process
  • Review contracts and related documents to assess risk to the company and recommend mitigation approaches
  • Support legal and compliance tasks/projects from time to time including updating various contract templates and other legal internal or external forms
  • Monitor the legal inbox and triage incoming requests, routing matters to the appropriate team members and responding to routine inquiries
  • Prioritize and execute multiple projects and tasks, meeting deadlines and effectively communicating with stakeholders
  • Keep aware of current trends and best practices for addressing emerging contracting, legal and business risks
  • Serve as a primary organizational contact during contract negotiations
  • Collaborate with legal team in developing concepts, techniques, standards and solutions to complex problems
  • Exercise initiative, and work in an independent manner
  • Support training to team and business colleagues on the contract management process
  • Support risk management and litigation initiatives as required
  • 10% Travel required
What You’ll Bring
  • 5+ years of experience as a contracts professional managing a large volume of commercial contracts
  • Bachelor’s degree or the equivalent combination of relevant education, training, or work experience
  • A higher-level degree, i.e., Masters or Juris Doctor, may substitute for two years of experience
  • A high level of interest in commercial transactions and the cybersecurity industry
  • Experience with Salesforce, Box, Microsoft Office suite, Microsoft Teams, Ironclad, and contract lifecycle management tools, as well as AI-powered tools such as GC AI and Glean
  • Excellent written, verbal and interpersonal communication skills with a proven track record of forging relationships among stakeholders
  • Proven organizational and analytical skills and professional business judgment
  • The ability to maintain confidentiality and exercise discretion
  • Strong drafting skills, with the ability to achieve consistent language across agreements that are similar in nature
  • Excellent problem-solving and analytical skills to support and achieve business goals and a desire efficiencies to improve program performance
  • A willing spirit and humor in undertaking tasks required to accomplish the work of the Legal Department
  • A proactive, attentive attitude toward both daily tasks and long term initiatives
  • A conscientious work style including a diligent approach to completing the tasks at hand and a sense of accountability and pride in assignments

$63,000 - $105,000 a year

The salary range listed is a reasonable estimate of the compensation range for this role based on national salary averages. The actual salary offer to the successful candidate will be based on job-related education, geographic location, training, licensure and certifications and other factors. You may also be eligible to participate in annual incentive, commission, and/or recognition programs.
