Job description

Hybrid schedule -

We are seeking a highly skilled and detail-oriented Contract Attorney or Senior Contract Specialist to support our fast-paced Commercial Legal Team. In this role, you will be primarily responsible for the independent review and negotiation of a broad range of commercial agreements.


Key Responsibilities

·         Independent Contract Review: Draft, review, redline, and negotiate a wide variety of commercial contracts, including but not limited to:

·         Non-Disclosure Agreements (NDAs)

·         Master Service Agreements (MSAs) and Professional Services Agreements

·         Sales Agreements, Reseller Agreements, and End-User License Agreements (EULAs)

·         Supply Agreements and Vendor/Procurement Agreements

·         Risk Management: Identify and articulate commercial and legal risks in contracts to internal stakeholders, offering creative and practical solutions to resolve impasses.

·         Cross-Functional Collaboration: Partner directly with internal business units (Sales, Supply Chain, Operations) to understand their objectives and ensure contracts align with business operations and company policies.

·         Process Improvement: Assist in maintaining and updating standard contract templates, legal playbooks, and negotiation guidelines.

·         Compliance: Ensure all agreements adhere to company policies, regulatory requirements (including data privacy), and intellectual property protection standards.


Qualifications & Requirements

·         Education: Juris Doctor (JD) degree from an accredited law school with active bar membership OR a Bachelor's degree coupled with extensive experience as a dedicated Contract Specialist / Paralegal.

·         Experience: Minimum of 5-7 years of direct experience, reviewing, and independently negotiating commercial agreements in an in-house corporate legal department or law firm.

·         Industry Knowledge: Prior experience in the technology, hardware, robotics, or manufacturing sectors is highly preferred.

·         Core Competencies:

·         Exceptional understanding of commercial contract structure, intellectual property rights, indemnification, limitations of liability, and warranties.

·         Ability to translate complex legal jargon into actionable business advice.

·         Strong organizational skills with the ability to manage a heavy, diverse workflow and prioritize high-impact tasks.

·         Excellent communication and interpersonal skills to effectively negotiate with external parties and collaborate with internal teams.
