Commercial Contracts Attorney

Position Summary:

We are seeking a Commercial Contracts Attorney to support Caleroโ€™s commercial contracting function and provide practical, business-oriented legal support across a wide range of customer, vendor, and strategic partner relationships.

This role will be responsible for reviewing, drafting, negotiating, and advising on commercial agreements, with a strong emphasis on SaaS and technology-related transactions. The attorney will partner closely with Sales, Security, Finance, Product, Operations, and other internal stakeholders to facilitate efficient contract execution while appropriately managing legal and business risk.

The ideal candidate will have strong commercial contracting experience, excellent drafting and negotiation skills, sound legal judgment, and the ability to manage multiple negotiations simultaneously in a fast-paced environment. Experience working with contract playbooks, fallback language, templates, and standardized negotiation guidance is strongly preferred.

Experience in telecommunications, SaaS platforms, or technology services is highly desirable.

Key Responsibilities:

  • Review, draft, redline, negotiate, and advise on a broad range of commercial agreements, including SaaS agreements, customer contracts, vendor agreements, NDAs, order forms, amendments, partnership agreements, and related commercial documentation.
  • Provide practical legal guidance regarding contractual, operational, financial, compliance, and business risks associated with proposed transactions.
  • Negotiate contractual terms directly with customers, vendors, and partners through written communications and live negotiations.
  • Partner closely with Sales, Legal, Finance, Security, Product, and Operations teams to support efficient contract execution while balancing legal and business objectives.
  • Develop, maintain, revise, and apply contract templates, playbooks, fallback language, negotiation guidance, and related internal documentation.
  • Help ensure consistency in contract language, legal positions, approval processes, and negotiation strategy.
  • Identify, assess, and escalate material legal and compliance risks as appropriate.
  • Support contracting process improvements and contribute to internal training and guidance regarding contracting standards and legal requirements.
  • Utilize CLM systems and related tools to support contract management and workflow visibility.
  • Potentially assist with mentorship or guidance of junior team members or contract professionals.

Qualifications:

  • Juris Doctor (JD) degree from an accredited law school.
  • Active bar admission in at least one U.S. jurisdiction.
  • 2โ€“5+ years of experience handling commercial contracts, preferably in a SaaS, technology, telecommunications, or software environment.
  • Strong experience reviewing and negotiating SaaS agreements and related technology transactions.
  • Excellent drafting, negotiation, issue-spotting, and written communication skills.
  • Strong business judgment and practical approach to legal risk management.
  • Ability to manage multiple competing priorities and negotiations in a fast-paced environment.
  • Comfortable interacting directly with Sales teams and participating in customer-facing negotiations.
  • Experience developing or utilizing contract playbooks, fallback positions, templates, and standardized negotiation guidance.
  • Experience using CLM systems and standard business applications.

Preferred Qualifications:

  • Experience supporting fast-paced sales organizations.
  • Familiarity with privacy, security, AI, and data protection provisions commonly found in SaaS agreements.
  • Experience in telecommunications expense management, telecom services, SaaS platforms, or related technology sectors.
  • Prior in-house legal experience preferred.
