Structured Finance (CMBS) Associate Attorney

Direct Counsel is seeking a Structured Finance (CMBS) Associate Attorney to join a prestigious Am Law firm in Austin, Boston, Charlotte, Chicago, Houston, Irvine (Orange County), Los Angeles, Miami, New York City, Portland, Sacramento, San Francisco, Santa Monica, Seattle, Silicon Valley (Menlo Park), or Washington, D.C.

This is an outstanding opportunity for an attorney with 3-9 years of structured finance experience to join a nationally recognized Structured Finance practice. The team advises clients on some of the industry's most sophisticated securitization transactions, with a primary focus on commercial mortgage-backed securities (CMBS) as well as a broad range of other asset-backed finance transactions.

Responsibilities
  • Represent issuers, underwriters, lenders, and other market participants in structured finance and securitization transactions.

  • Advise clients on commercial mortgage-backed securities (CMBS) transactions from structuring through closing.

  • Assist with residential mortgage, auto loan, credit card, collateralized loan obligation (CLO), repackaging, re-securitization, and other asset-backed financing transactions.

  • Draft, review, and negotiate transaction documents, offering materials, and financing agreements.

  • Conduct legal due diligence and assist with transaction structuring and execution.

  • Advise clients on evolving regulatory developments affecting the structured finance and securitization markets.

  • Collaborate with multidisciplinary legal teams on complex financing transactions.

  • Manage multiple sophisticated matters while delivering practical, business-focused legal advice.

Qualifications
  • J.D. from an ABA-accredited law school.

  • Active membership in the state bar of the office where the attorney will be located.

  • 3-9 years of experience in structured finance and/or securitization.

  • Prior CMBS experience is preferred but not required.

  • Strong drafting, analytical, negotiation, and organizational skills.

  • Excellent written, verbal, and interpersonal communication skills.

  • Outstanding academic credentials.

  • Highly motivated with the ability to work both independently and collaboratively in a fast-paced practice.

Compensation & Benefits
  • Salary: $260,000-$435,000, commensurate with experience and qualifications.
