Title: M&A Paralegal 

Work Mode: Fully remote for candidates located in Florida, Georgia, or South Carolina. Monthly travel required to Longwood, FL | Requirements: 2–5 years of paralegal experience

About the Role: The M&A Paralegal is responsible for providing legal, transactional, and compliance support to the Legal Department and M&A team, with a primary focus on acquisition activity, entity management, and insurance agency operations. This role supports transaction documentation, contract administration, corporate governance, licensing activities, regulatory compliance, and post-close integration efforts. Working closely with Legal, Compliance, HR, Risk Management, Finance, Operations, outside counsel, and acquisition partners, the M&A Paralegal helps ensure transactions and legal processes are executed accurately, efficiently, and in accordance with applicable regulatory requirements. 

 
Key Responsibilities: 

  • Transaction Support: Support M&A transactions by maintaining deal checklists, coordinating execution packages, managing closing activities, and tracking post-closing deliverables. 

  • Contract & Document Management: Draft, review, route, track, and maintain legal agreements, contract repositories, templates, version controls, and audit-ready documentation. 

  • Corporate Governance: Prepare and maintain entity registrations, annual reports, corporate resolutions, governance records, and related filings for existing and acquired entities. 

  • Licensing & Regulatory Support: Assist with agency licensing, renewals, appointments, entity changes, regulatory filings, and compliance-related activities. 

  • Legal Research & Regulatory Monitoring: Research insurance regulations, licensing requirements, and industry compliance standards while monitoring regulatory changes and communicating key updates. 

  • Claims & Litigation Coordination: Support E&O claims, litigation holds, subpoenas, carrier inquiries, discovery requests, and regulatory notices while tracking deadlines and responses. 

  • Compliance & Audit Support: Assist with internal audits, compliance reviews, risk management initiatives, and supporting documentation requirements. 

  • Reporting & Communication: Prepare reports, summaries, correspondence, briefings, and presentation materials for Legal, M&A, and executive leadership teams. 

  • Cross-Functional Collaboration: Partner with Legal, Compliance, Finance, HR, Operations, outside counsel, and acquisition stakeholders to support transactions and business objectives. 

  • Project Coordination: Support legal and M&A projects through meeting coordination, agenda preparation, document distribution, and action-item tracking. 

  • Process Improvement: Identify and implement improvements to legal, compliance, contract management, and transaction support processes. 

  • Technical & Professional Development: Maintain current knowledge of legal procedures, insurance regulations, corporate governance practices, and M&A best practices. 

  • Champion IOA Values: Demonstrate integrity, leadership, accountability, and professionalism in all interactions. 

 
Ideal Candidate Qualifications: 

  • Associate’s or Bachelor’s degree, equivalent experience, or Paralegal certification preferred 

  • 2–5 years of paralegal experience within insurance, financial services, corporate law, or another regulated industry 

  • Experience supporting M&A transactions, due diligence, corporate governance, compliance, or post-close integration activities preferred 

  • Strong understanding of legal terminology, contract administration, regulatory compliance, and insurance licensing processes 

  • Excellent analytical, problem-solving, organizational, and project management skills with the ability to manage multiple priorities 

  • Strong written, verbal, and interpersonal communication skills, with the ability to collaborate effectively across departments and with external partners 

  • Proficiency in Microsoft Office applications and contract or document management systems 

  • Demonstrated discretion, integrity, and professionalism when handling confidential and privileged information

Salary Range

The expected pay range for this position is $135,000 to $150,000 per year, depending on experience, relevant skills, and geographic location.
