Mergers & Acquisitions Associate Attorney

Locations: Boston, MA | Denver, CO | New York, NY | Redwood City, CA
Salary: $260,000–$390,000

Direct Counsel is seeking a Mergers & Acquisitions Associate Attorney to join a leading Am Law firm's nationally recognized Corporate & Finance practice. This opportunity is ideal for a mid-to-senior level associate with 3+ years of M&A experience who is looking to work on sophisticated domestic and cross-border transactions for public and private companies, private equity sponsors, and strategic investors.

The successful candidate will join a collaborative, fast-paced team handling some of the market's most significant and innovative transactions while receiving substantial client contact and opportunities for career advancement.

Responsibilities
  • Represent public and private companies, private equity sponsors, and strategic investors in mergers, acquisitions, and other strategic corporate transactions.
  • Draft, review, and negotiate acquisition agreements, merger agreements, ancillary transaction documents, and other corporate agreements.
  • Lead and manage legal due diligence processes.
  • Coordinate transactions from initial structuring through closing.
  • Advise clients on corporate governance, transaction strategy, and risk management.
  • Analyze issues involving federal securities laws and Delaware corporate law.
  • Manage transaction workstreams and serve as a primary point of contact for clients and deal teams.
  • Collaborate with attorneys across multiple practice groups and offices on complex domestic and cross-border matters.
  • Leverage legal technology and AI-enabled workflow tools to improve efficiency and client service.
  • Mentor and provide guidance to junior associates and legal team members.
Qualifications
  • J.D. from an ABA-accredited law school with outstanding academic credentials.
  • Active bar admission in the jurisdiction where the attorney will practice.
  • 3+ years of experience handling mergers and acquisitions transactions at a law firm.
  • Significant experience drafting and negotiating transaction documents.
  • Experience managing due diligence and coordinating complex corporate transactions.
  • Familiarity with public and private company M&A transactions.
  • Experience with federal securities laws and Delaware corporate law is preferred.
  • Experience representing technology or life sciences companies is a plus.
  • Strong analytical, drafting, negotiation, organizational, and interpersonal skills.
  • Ability to independently manage multiple workstreams while collaborating effectively across teams.
  • Experience incorporating legal technology and AI tools into transactional practice is highly desirable.
Compensation & Benefits
  • Competitive base salary of $260,000–$390,000, depending on experience and qualifications.
