Job description

MG+M The Law Firm (MG+M) is seeking to add a Transactional Associate Attorney to our Transactional Practice Group in the Boston, MA or Wilmington, DE office. The candidate should have a minimum of two (2) years of experience in handling transactional matters.
MG+M is a nationally renowned litigation law firm concentrating on complex civil matters with an emerging focus on transactional matters. We approach client service as a unified team, integrating our efforts with those of our clients to advance their interests wherever they do business. Our goal is always to deliver optimal results at the best possible value.

Essential Duties and Responsibilities:

  • Draft, review, and negotiate a variety of commercial contracts, including NDAs, service agreements, licensing agreements, and vendor contracts.
  • Assist with corporate transactions such as entity formation, restructuring, mergers, acquisitions, and joint ventures.
  • Conduct legal research and provide strategic advice on transactional matters and regulatory issues.
  • Support due diligence efforts and prepare related documentation.
  • Collaborate with internal departments and external clients to ensure legal compliance and mitigate risk.
  • Maintain organized records and manage timelines for multiple ongoing transactions.
  • Stay current with relevant laws, regulations, and industry trends.


Candidate Requirements:

  • A minimum of two (2) years of experience in transactional law, preferably in a law firm or corporate legal department.
  • Juris Doctor from an accredited law school.
  • Must be admitted to practice in the state of Massachusetts.
  • Strong understanding of contract law, corporate law, and regulatory frameworks.
  • Exceptional written and verbal communication skills.
  • Ability to manage multiple priorities and work independently or collaboratively.
  • High attention to detail and strong organizational skills.
  • Experience with M&A transactions and corporate governance, preferred.
  • Proficiency in legal research tools and document management systems.
