Job description

Direct Counsel is partnering with a nationally recognized Am Law firm seeking a Corporate Transactional Securities Associate with 2–7 years of experience to join its expanding Corporate Practice Group. This opportunity is ideal for attorneys with strong experience advising public companies on securities compliance, corporate governance, and complex transactional matters.

Position Overview

The firm is seeking a highly motivated associate to support its public company securities practice and broader corporate transactional team. The ideal candidate will have experience handling a wide range of matters involving SEC reporting and compliance, mergers and acquisitions, private equity transactions, venture capital financing, and general corporate governance.

This is an excellent opportunity to work alongside sophisticated practitioners in a collaborative and entrepreneurial environment with exposure to high-level corporate transactions and nationally recognized clients.

Responsibilities
  • Advise public companies on Securities Act of 1933 and Securities Exchange Act of 1934 compliance matters

  • Prepare and review SEC filings, including periodic reports and registration statements

  • Support mergers and acquisitions, private equity, and venture capital transactions

  • Assist with corporate finance matters and corporate governance issues

  • Draft and negotiate transactional documents and ancillary agreements

  • Provide general corporate counseling, including entity formation and maintenance

  • Collaborate with clients and internal practice groups on complex business transactions

Qualifications
  • 2–7 years of corporate transactional and securities experience

  • Experience with public company reporting and SEC compliance

  • Background in mergers and acquisitions, private equity, venture capital, or corporate finance preferred

  • Excellent academic credentials from a top-tier law school

  • Strong drafting, analytical, and communication skills

  • Licensed and in good standing in the jurisdiction of the home office location
