Job description

Direct Counsel is partnering with a prestigious AmLaw 10 law firm to identify Corporate M&A / Private Equity Associates to join its Salt Lake City office. This is an excellent opportunity for attorneys interested in working on sophisticated mergers and acquisitions and private equity transactions within a highly regarded corporate practice.

Associates in this role will work closely with experienced deal teams representing private equity sponsors, portfolio companies, and strategic investors on complex transactions across a variety of industries.

Key Responsibilities
  • Assist with mergers and acquisitions transactions, including drafting and negotiating transaction documents

  • Support private equity investments, acquisitions, and exits

  • Conduct due diligence and transaction management

  • Draft and review purchase agreements, disclosure schedules, and related transaction documents

  • Work collaboratively with partners and deal teams on complex corporate transactions

  • Manage transaction timelines and coordinate with clients, advisors, and opposing counsel

Qualifications
