Fund Formation & Investment Management Associate Attorney
Location: Boston, MA (preferred) | Chicago, IL | Dallas, TX | New York, NY

Direct Counsel is seeking a mid-level Fund Formation & Investment Management Associate Attorney to join the investment management practice of a leading Am Law firm. This role offers the opportunity to work with sophisticated sponsors, institutional investors, and private fund managers on complex fund formation, structuring, and investment management matters.

Responsibilities
  • Advise sponsors and investment managers on the formation, structuring, and operation of private investment funds.

  • Draft and negotiate fund formation documents, including private placement memoranda, partnership agreements, and related governing documents.

  • Represent both general partners and institutional investors in connection with fund investments and negotiations.

  • Assist with secondary sales of limited partner interests, including both buy-side and sell-side transactions.

  • Advise on GP-led fund restructurings and liquidity transactions.

  • Provide guidance on regulatory and compliance matters relating to private funds and investment advisers.

  • Work collaboratively with partners and clients to manage complex matters involving multiple attorneys and stakeholders.

Qualifications
  • 4–6 years of experience in fund formation and investment management at a law firm or similar sophisticated practice environment.

  • Experience advising on private fund formation and management structuring.

  • Experience negotiating with institutional investors such as pension plans, endowments, and funds-of-funds.

  • Familiarity with secondary transactions and GP-led restructurings preferred.

  • Working knowledge of the Investment Advisers Act, related compliance obligations, and the Securities Act as it relates to private investment funds.

  • Strong drafting, negotiation, and project management skills.

  • Excellent academic credentials and strong written and verbal communication skills.

  • JD from an ABA-accredited law school.

  • Active bar admission in the jurisdiction of practice, or ability to obtain admission.

Compensation

The expected salary range for this position is $290,000 – $390,000, depending on experience, qualifications, and internal equity considerations. The firm offers a comprehensive benefits package including health insurance, retirement plans, and additional employee benefits.
