Capital Markets – CLO/ABL/Structured Finance Associate Attorney

Direct Counsel is seeking a Capital Markets – CLO/ABL/Structured Finance Associate Attorney to join a prestigious Am Law firm in New York, New York; Washington, D.C.; or Charlotte, North Carolina.

This is an exceptional opportunity for an attorney with 2-6+ years of finance experience to join a nationally recognized Securities & Public Company Advisory practice. The team advises clients on sophisticated securitization, structured finance, private securities offerings, and lending transactions, providing associates with significant responsibility and exposure to complex capital markets matters.

Responsibilities
  • Represent clients in securitization, structured finance, and private securities offering transactions.

  • Advise clients on structured lending, asset-based lending (ABL), syndicated lending, and other complex financing transactions.

  • Draft, review, and negotiate transaction documents for sophisticated capital markets and lending matters.

  • Assist with transaction structuring, due diligence, and closing coordination.

  • Conduct legal research and provide strategic advice on securities and structured finance issues.

  • Collaborate directly with clients and multidisciplinary legal teams throughout all phases of transactions.

  • Support a wide range of structured finance and capital markets matters across multiple asset classes.

Qualifications
  • J.D. from an ABA-accredited law school.

  • Active membership in a U.S. state bar.

  • 2-6+ years of substantial law firm experience in one or more of the following areas:

    • Private securities offerings

    • Securitization

    • General bank lending

    • Syndicated lending

    • Asset-based lending (ABL)

    • Structured lending

  • Experience with Collateralized Loan Obligations (CLOs), Asset-Backed Securities (ABS), or Commercial Mortgage-Backed Securities (CMBS) is a plus.

  • Excellent academic credentials and strong analytical, drafting, negotiation, and communication skills.

  • Ability to manage sophisticated transactions while working collaboratively in a fast-paced, client-focused environment.

Compensation & Benefits
  • Salary: $235,000-$390,000, commensurate with experience and qualifications.
