Job description

StackAdapt is seeking a senior-level attorney in the role of VP Legal, Commercial, reporting to the General Counsel. In this role you will be a key member of the Legal team, leading and developing a dedicated team  of commercial counsel while partnering closely with our revenue teams to drive  commercial transactions to close and ensure compliance with legal and operational standards. 

This role is ideal for  a "builder"; a core mandate of this role is to build and scale a high-performing commercial legal function that keeps pace with StackAdapt's growth, including by designing efficient processes and championing the adoption of automation and artificial intelligence across all aspects of contracting. You are energized by the opportunity to play a key role on an expanding Legal team at a high growth tech company, and to apply your leadership skills and vision to the role.

StackAdapt is a Remote First company and you will work as part of a highly collaborative remote global Legal team. This role is open to candidates located anywhere in Canada or the US. Occasional travel may be required.

What you'll be doing:

  • Lead, mentor and develop the Legal commercial team, currently consisting of three commercial lawyer reports, setting priorities, supporting their growth
  • Build and scale the commercial legal function use of automation and AI, including self-serve and automated resources that allow stakeholders to move quickly while managing risk 
  • Identify, implement and champion automation and AI-enabled tooling to improve the speed, quality and consistency of contracting, and to give the business better visibility across the contract lifecycle 
  • Optimize the team's balance between "high-touch" strategic enterprise deals and "low-touch" automated workflow pipelines
  • Set long-term vision and oversee department hiring and development
  • Partner with the executive and senior leadership teams from across the business on commercial strategy, risk tolerance and legal operations 
  • Structure, negotiate and draft a wide range of commercial agreements, including major customer and alliance agreements 
  • Provide legal advice to key stakeholders on commercial and legal matters within the business 
  • Provide thought leadership internally and externally
  • Provide leadership, mentorship and training to StackAdapters

What you'll bring to the table:

  • Practical, business-minded lawyer with at least 10+ years' relevant experience in an inhouse or reputable firm setting; US experience is preferred  
  • In house experience in advertising, technology, ad tech, data, or media company 
  • Extensive track record of leveraging strong negotiation skills to manage commercial and legal risks in the digital media/ad tech industry while driving significant revenue impact
  • A strong foundation in commercial transactions and deep understanding of IP issues and data licensing concepts
  • Demonstrated experience directly managing, mentoring and developing a team of lawyers 
  • Ability to collaborate effectively and with a sense of urgency with key stakeholders and other business teams
  • A track record of building or scaling a commercial legal function, including process design, playbooks and templates, and a demonstrated appetite for adopting automation and AI tools to drive efficiency and consistency in legal workflows 
  • Able to "own" and manage projects from beginning to end, with an internally driven sense of follow through
  • Excellent legal and business judgment and are comfortable balancing legal risks and business strategy 
  • Exceptional writing skills, strong attention to detail, and an ability to create original drafted documents
  • A desire to mentor and educate non-legal team members in a constructive and motivational way, consistent with StackAdapt culture and values
  • Possesses deep creativity, a day to day ability to think outside the box, and an ability to work exceptionally collaboratively with others in a remote setting 
  • Call to the Bar in one or more Canadian Provinces or one or more US states, with active license to practice law in such jurisdiction(s)Â
