    Corporate Counsel

    Radwell International, LLC Location: Downers Grove, IL Reports to: General Counsel

    Position Summary

    Radwell International is seeking a Corporate Counsel to join its legal team. This generalist role will provide legal support across a broad range of business functions, with primary focus on commercial transactions, mergers and acquisitions, and employment law. The successful candidate will work closely with the General Counsel and cross-functional business teams to deliver practical, business-oriented legal guidance that supports the company's growth objectives.

    Key Responsibilities

    • Commercial Transactions: Draft, review, and negotiate a wide range of commercial agreements, including customer and vendor contracts, supply agreements, distribution agreements, service agreements, NDAs, and licensing arrangements.
    • M&A Support: Assist with all phases of mergers, acquisitions, and divestitures, including due diligence, deal structuring, transaction document preparation and review, and post-closing integration support.
    • Litigation Support: Manage and oversee pre-litigation disputes, demand letters, and outside litigation counsel on active matters. Assist with litigation strategy, document preservation and collection, discovery responses, and case assessment. Track and report on litigation portfolio status, budgets, and outcomes to the General Counsel.
    • Employment Law: Advise HR and business leaders on employment law matters, including hiring and termination practices, wage and hour compliance, leave and accommodation obligations, workplace investigations, and employment policies and handbooks.
    • General Corporate: Provide day-to-day legal counsel on a variety of business issues, including regulatory compliance, corporate governance, intellectual property, data privacy, and risk management.
    • Cross-Functional Collaboration: Partner with sales, operations, procurement, finance, and human resources teams to identify legal risks and develop practical solutions that enable business objectives.
    • Legal Process Improvement: Help develop and maintain contract templates, playbooks, and internal legal processes to improve efficiency and consistency across the organization.
    • Outside Counsel Management: Coordinate with external counsel on specialized matters, managing scope, budget, and work product quality.

    Qualifications

    • J.D. from an accredited law school.
    • Active bar admission in good standing; Illinois bar admission preferred.
    • 5–7 years of legal experience, with a combination of law firm and in-house experience preferred.
    • Demonstrated experience negotiating and drafting commercial contracts.
    • Working knowledge of M&A transaction processes and deal documentation.
    • Familiarity with federal and state employment laws, including Title VII, ADA, FMLA, FLSA, and applicable Illinois and multi-state requirements.
    • Strong business judgment with the ability to assess risk practically and provide clear, actionable recommendations.
    • Ability to manage multiple priorities in a fast-paced environment with minimal supervision.
    • Excellent written and verbal communication skills.
    • High degree of integrity, professionalism, and collaborative instinct.

    Preferred Qualifications

    • Prior in-house experience in manufacturing, distribution, or industrial services.
    • Experience supporting government contracts or government customer requirements.
    • Familiarity with international commercial transactions.
    • Experience with data privacy and cybersecurity matters.
