Job Summary:
The Corporate Counsel, Corporate & Securities will help oversee and direct all aspects of public company securities reporting and corporate governance obligations. Reporting to the Assistant General Counsel, your responsibilities will include review of all SEC filings, assistance with corporate secretarial matters, including preparation of board and committee materials, and support in other areas such a corporate compliance.
Essential Functions & Accountabilities:

• Review and help prepare all Form 10-Ks, 10-Qs and 8-Ks
• Manage securities reporting and compliance program.
• Manage all aspects of corporate governance, SEC reporting and internal controls
• Lead the preparation of the proxy statement and manage all aspects of the proxy solicitation and annual meeting process
• Provide support for mergers and acquisitions, equity investments, financings and integration activities
• Help develop and implement corporate policies and procedures including communications and awareness campaigns
• Oversee the Company’s entity management
• Provide assistance as needed with corporate compliance matters, internal controls, equity administration, investor relations, treasury functions and ESG reporting obligations
• Additional projects to support corporate strategy and direction as it relates to Corporate & Securities

Qualifications
Knowledge, Skills and Abilities:

• Prior experience as an associate or partner at a reputable corporate law firm
• In-house experience preferred
• Broad and deep expertise in corporate and U.S. securities laws, corporate governance and board governance matters
• Exceptional attention to detail, organizational skills and judgment
• Ability to effectively handle multiple tasks in a fast-paced environment
• Excellent communication and research skills, including detail-oriented effective writing, clear public speaking, and ability to quickly establish trust and credibility in interactions with people.
• Understanding of financial documents, accounting for attorneys, and budgeting.
• Positive attitude, flexibility, professionalism, sound judgment and integrity.
• Strong organizational skills and the ability to prioritize multiple projects and internal client demands.
• Effective time management and delivery of on-time results to meet deadlines.
• Collaborative approach to working with a wide range of other disciplines, often across regions and time zones.
• Excellent business acumen, ability to think strategically and formulate concrete recommendations.
• Strong skills and comfort level in full range of computer programs such as Word, Excel, PowerPoint, Teams, and ability to quickly adapt to customized software for various functions.
• Cultural competency in a wide variety of situations.
• Possession of (or ability to secure) a valid passport or the equivalent credentials in order to travel internationally strongly desired.
  

Work Environment:

• Normal office environment.
• Prolonged sitting in front of a computer.
  

Experience:

• 7+ years of relevant corporate law experience, including both law firm and in-house representation of global publicly traded companies (prefer medical device experience)
  

Education:

• A J.D. from an accredited law school and admission to the State Bar of the location where you reside.
  

For U.S. locations that require disclosure of compensation, the starting base pay for this role is between $185,107.00 and $246,809.00 per year and may include cost of living adjustments. The actual base pay includes many factors and is subject to change and modification in the future. This position may also be eligible for other types of compensation and benefits.
