Job description

VALiNTRY is seeking an experienced Paralegal Contractor to support a major nonprofit organization with the review, modernization, and development of compliance, contracting, and governance policies.

This role will work closely with Compliance, Legal, Procurement, Risk Management, IT, and business leadership to strengthen organizational controls, modernize existing documentation, and develop practical procedures that can be consistently implemented across the organization.

The ideal candidate combines strong legal and compliance writing skills with hands-on experience translating complex regulatory and contracting requirements into clear, practical policies, procedures, workflows, and governance standards.

Pay Range $50.00 to $65.00 w2 per hour , This position can compensate more depending on additional skills set that can be more valuable to the enterprise, don’t hesitate to apply if you’re a strong technical fit for this position.
Key Responsibilities

Compliance & Policy Development

  • Review existing compliance, contracting, and governance policies to identify gaps, inconsistencies, and opportunities for improvement.

  • Rewrite and modernize policies to reflect current regulatory requirements, internal controls, organizational standards, and industry best practices.

  • Ensure policies are clear, concise, practical, and easily understood by both legal and non-legal stakeholders.

  • Standardize policy frameworks across departments to improve consistency and eliminate unnecessary duplication.

  • Prepare polished policy and procedure documentation for leadership review and approval.

Procedure & Workflow Development

  • Develop detailed procedures supporting revised policies, including workflows, roles and responsibilities, escalation processes, and approval matrices.

  • Translate legal, regulatory, and compliance requirements into actionable guidance for business users.

  • Partner with stakeholders to validate procedures and ensure they are practical within day-to-day operations.

  • Support change management, implementation, training materials, and organizational rollout of new policies and procedures.

Contracting & Governance

  • Assist with the development and modernization of contracting standards, approval thresholds, and legal review guidelines.

  • Develop standardized contract templates, self-service forms, contracting playbooks, and supporting documentation.

  • Support documentation and process development related to the implementation of a Contract Lifecycle Management (CLM) platform.

  • Help strengthen contract governance and establish consistent contracting practices across the organization.

Research & Benchmarking

  • Research and benchmark compliance and contracting policies against comparable nonprofit, healthcare, and regulated organizations.

  • Identify industry best practices and opportunities to simplify, standardize, and improve existing processes.

  • Support the development of scalable governance and internal control frameworks.

Required Qualifications

  • 3–7 years of experience as a Paralegal, Legal Analyst, Contracts Specialist, Policy Writer, or similar legal/compliance professional.

  • Strong experience drafting, reviewing, and revising legal, compliance, contracting, or governance policies.

  • Demonstrated ability to convert legal and regulatory requirements into clear, practical operating procedures.

  • Knowledge of contracting workflows, approval processes, legal review thresholds, and contract governance.

  • Excellent professional writing, editing, and document-structuring skills.

  • Strong analytical, research, critical-thinking, and organizational capabilities.

  • Ability to independently manage multiple priorities and deliver high-quality work within established deadlines.

  • Strong communication skills and ability to collaborate across Legal, Compliance, Procurement, Risk Management, IT, and business functions.

Preferred Qualifications

  • Experience within nonprofit, healthcare, financial services, or another highly regulated industry.

  • Experience with Contract Lifecycle Management (CLM) systems or CLM implementations.

  • Background supporting Compliance, Ethics, Procurement, Risk Management, Legal Operations, or Corporate Governance.

  • Understanding of internal controls, risk frameworks, policy management, and organizational governance.

  • Experience developing training materials or supporting change-management initiatives.
