Role Overview

This is a lateral transactional position for an attorney with a minimum of two (2) years of experience capable of managing corporate, real estate, and energy-related transactions. Based fully in San Antonio, TX, the role involves taking lead execution over the structuring, negotiating, and drafting of technical legal agreements, coordinating transaction lifecycles from intake to closing, and providing strategic regulatory counsel to new and existing business clients.

Key Responsibilities
  • Transactional Matter Leadership: Serve as a lead attorney handling all operational aspects of transactional matters across Business Law, Real Estate Law, and Oil, Gas, and Energy Law.

  • Document Drafting & Negotiation: Structure, draft, review, and negotiate comprehensive corporate agreements, property deeds, joint venture structures, and asset purchase contracts.

  • Comprehensive Due Diligence: Execute rigorous due diligence investigations concerning corporate acquisitions, mergers, property titles, municipal zoning laws, and environmental compliance issues.

  • Lifecycle Transaction Management: Manage diverse commercial transactions efficiently from initial strategic planning through final execution and closing.

  • Regulatory & Contract Compliance: Ensure client transactions adhere strictly to state/federal laws, construction codes, entity formation regulations, and structural corporate governance.

  • Risk & Dispute Advisory: Provide data-driven legal advice regarding risk mitigation strategies, corporate contract enforcement mechanisms, and commercial dispute resolutions.

  • Client & Team Collaboration: Supervise team associates or paralegals within the transactional section while building and maintaining direct professional relationships with clients and opposing counsel.

Required Qualifications
  • Education: Juris Doctor (J.D.) degree from an accredited law school.

  • Licensing: Active admission and good standing with the Texas State Bar.

  • Experience: Minimum of 2+ years of dedicated professional experience handling transactional matters in real estate law and/or business law.

  • Project Management: Proven ability to manage multiple complex transactions simultaneously in a fast-paced, deadline-driven legal environment.

  • Legal Acumen: High proficiency in legal research, independent critical thinking, and advanced structural legal writing.

Preferred Qualifications
  • Possession of, or actively on track to obtain, a Texas Board of Legal Specialization certification in Commercial Real Estate Law, Residential Real Estate Law, Farm and Ranch Real Estate Law, Construction Law, Property Owners Association Law, or Oil, Gas and Mineral Law.

  • A portable book of business is considered a distinct plus but is not required.

  • Technical: Contract structuring, title/zoning due diligence, corporate entity governance, statutory research, and risk mitigation evaluation.

  • Professional: Independent problem-solving, elite oral and written communication, cross-functional team collaboration, and client relationship management.
