We are looking for an experienced Commercial Contract Attorney to support a nonprofit organization on a contract basis. This role focuses on reviewing, drafting, and negotiating a wide range of commercial and mission-related agreements while helping business partners manage legal risk with practical guidance. The ideal candidate brings sound judgment, strong contract law knowledge, and the ability to work independently in a fast-paced environment.
Responsibilities: โข Review, draft, and revise vendor, consulting, and service agreements to align with organizational objectives and legal standards. โข Prepare and negotiate sales contract templates and related commercial documents with attention to risk allocation and enforceability. โข Create and update gift, pledge, and fundraising agreements that support fundraising and partnership activities. โข Develop memoranda of understanding and collaboration documents for external relationships and joint initiatives. โข Advise internal stakeholders on contract terms, obligations, and potential legal exposure across routine business matters. โข Support the legal review of partnership arrangements and other nonprofit-related agreements to ensure clarity and compliance. โข Recommend edits to contract language that protect the organization while maintaining productive business relationships.
The pay range for this position is 55 to 70. Benefits available to contract/contract professionals, include medical, vision, dental, and life and disability insurance.
