Davis Wright Tremaine LLP is seeking an paralegal clerk through the firm’s alternative-track contract attorney and staffing program, DWTSurge. The selected paralegal will work with the firm’s Corporate & Business Transactions practice group to handle transactional deal flow, including M&A and equity financing matters for clients. The selected paralegal may work remotely but should be prepared to support West Coast business hours.

The selected paralegal clerk will be responsible for tracking document review and updating transaction checklists, managing high-volume document databases, escalating legal questions, and other tasks as needed in support of transactional matters. Close attention to detail, sound judgment, excellent writing skills, and careful organization are needed. The position also requires multi-tasking and strong interpersonal skills in a fast-paced environment. The candidate will be supervised by and will report to the firm’s non-attorney staff. Because this role may have significant interaction opportunities and relationship-building potential within the firm, we are placing a greater emphasis on time management and communication skills than on substantive years in corporate transactional support.

This contract position offers the flexibility of remote work and full-time hours; 37.5 hours per week is generally anticipated. The amount of work may vary from week to week and a minimum number of hours of work per week is not guaranteed. While work will be performed remotely, candidates must be willing to accommodate a West Coast business schedule. The initial engagement will be for a six-month term, but there is a strong potential for renewal for successful candidates, although any renewals are not guaranteed.

Responsibilities

• Set up and maintain data rooms; distribute documents to subject-matter experts (SMEs) and track document review
• Help prepare initial request lists and managing closing checklist tasks
• Track input and compile document comments from SMEs
• Prepare and compile document signature pages and executed versions
• Compile executed documents, upload to document management system, and assemble closing set indexes
• Order corporate certificates and assist with state filings
• Accurately and completely record billable time spent and tasks performed in accordance with firm policy and client-imposed billing protocols; enter and release time promptly in compliance with the firm’s announced deadlines
• Administrative support as needed
• Other duties as assigned by the deal team partners and associates

The ideal candidate will have:

• 1+ years of legal experience, preferable in a law firm environment
• Residency in one of the following states: AK, AZ, CA, CO, CT, FL, GA, MD, MN, MT, NJ, NM, NY, OH, OR, PA*, TN, TX, VA, WA, and WDC, or WV. (*jurisdiction-specific)
• Bachelor’s degree or equivalent
• Excellent communication skills, both written and verbal
• Experience with DocuSign and/or AI document review tools is a plus
• Demonstrated ability to learn new technologies quickly and independently
• High attention to detail and sensitivity to confidential materials
• Demonstrated ability to work in a team-oriented, service focused environment and to handle
• stressful situations in a calm, composed manner
• Availability to work remotely, anticipated full-time hours, 37.5 hours/week, and support PST business hours
• Flexibility for hours to potentially fluctuate from week to week
• Proficiency in MS Office Products (Word, Outlook, Excel) and Adobe Acrobat or Nuance
• Excellent grammar, proofreading, and organizational skills
• Must be a team player and have the ability to work independently, with minimal supervision

Please note that this is a temporary contract position managed by DWT’s flexible attorney and professional staff program, DWTSurge. Compensation will be paid on an hourly basis, commensurate with experience and skill level (see below). This role is eligible for some benefits. Salary Range

The hourly range for this position in CA, MD, MN, NY, OR, WA, and WDC is $28 to $33 per hour. Actual pay will be adjusted based on experience and other job-related factors permitted by law.
