Position Summary
The Vice President, SEC Reporting is a senior leader within the Corporate Accounting function responsible for overseeing the full lifecycle of the Company's public reporting obligations. The Vice President partners closely with the Consolidations team, FP&A, Investor Relations, and internal and external legal counsel to oversee the preparation of 10-Qs, 10-Ks, 8-Ks, earnings presentations, and the annual proxy statement. The Vice President serves on the firm's Disclosure Committee and prepares materials for the Audit Committee of the Board of Directors, serving as a key liaison between the accounting function and senior leadership and the Board.
The Vice President is responsible for evaluating new and proposed U.S. GAAP and SEC pronouncements to assess the impact on Carlyle's public disclosures and periodically reviewing disclosures across the firm (including the '40 Act funds and the private funds) to ensure that disclosures are consistent across the firm. The Vice President also leads the team's efforts to leverage technology and artificial intelligence to modernize the reporting process and drives continuous improvement in the efficiency and quality of the firm's public disclosures.
This role requires strong relationships across Carlyle's Finance, Legal, Investor Relations, and Fund Management organizations, as well as with the Company's external auditors. The Vice President provides developmental leadership to one direct report, and is expected to contribute broadly to the Corporate Accounting function beyond the SEC reporting remit.
Primary Responsibilities
SEC Reporting
- Actively participate in the drafting of, and oversee the preparation and filing of, all quarterly and annual SEC reports for The Carlyle Group (10-Qs, 10-Ks, 8-Ks, proxy statement), including financial statements, MD&A, footnote disclosures, XBRL tagging, and final review prior to submission
- Partner with FP&A to oversee the preparation of the quarterly earnings presentation, ensuring consistency between earnings materials and SEC filings and coordinating review and approval workflows
- Serve on the firm's Disclosure Committee, contributing to the evaluation of material information, disclosure controls, and the accuracy and completeness of public filings, ensuring they appropriately reflect our business operations amidst the current macroeconomic backdrop
- Prepare and present materials for the Audit Committee of the Board of Directors on a quarterly basis, including summaries of significant accounting judgments, new standards, and open audit matters
- Manage the external auditor relationship for the quarterly review and annual audit of the Company's financial statements, including coordinating PBC deliverables, responding to audit inquiries, and resolving open items on a timely basis
- Oversee the firm's quarterly sub-certification process and ensure the integrity of the certifications provided to the CEO and CFO under Sections 302 and 906 of the Sarbanes-Oxley Act
- Maintain and strengthen the internal control environment over financial reporting (ICFR), including ownership of key controls related to the SEC reporting process and oversight of SOX compliance for the reporting function
Center of Excellence & Process Innovation
- Lead the SEC Reporting function as a center of excellence for public reporting across the firm, providing guidance to other Carlyle teams with SEC filing obligations and driving consistency, quality, and accuracy across all of the firm's public disclosures
- Champion the identification and implementation of artificial intelligence and automation solutions to reduce manual processes, increase operational efficiency, and improve the quality and consistency of the Company's public disclosures
- Act as a Product Owner of and Subject Matter Expert in Workiva, Carlyle's reporting software - including exploring use cases for new functionality, managing access and access reviews across the firm, understanding firmwide use and assisting in the development of cost allocation policies and review of resulting calculations in partnership with the Corporate Accounting team.
- Oversee regulatory filings required by other governmental bodies, including the Bureau of Economic Analysis and the Census Bureau
Leadership & Cross-Functional Collaboration
- Manage, mentor, and develop one direct report: and provide broader developmental leadership across the full Consolidations, Policy & Reporting organization
- Build and maintain strong cross-functional relationships with Finance, FP&A, Investor Relations, Legal, Fund Management, Partnership Accounting and Corporate Accounting to ensure appropriate and timely disclosure of the Company's financial results
- Provide cross-functional accounting support and contribute to firm-wide accounting and finance initiatives, as needed
- Other duties as assigned
Requirements
Education & Certificates
- Bachelor's degree, required
- Concentration in accounting, finance or related field, preferred
- CPA required
Professional Experience
- 10+ years of progressive professional experience, required
- Significant experience in Big 4 public accounting and/or SEC reporting at a public company, required
- Demonstrated experience managing and developing professional staff
- Extensive knowledge of U.S. GAAP and SEC accounting pronouncements, with particular depth in consolidation, fair value estimates, business acquisitions, stock-based compensation, and income taxes
- Experience presenting to or preparing materials for senior leadership, audit committees, or boards of directors preferred
Competencies & Attributes
- Deep understanding of SEC financial statement disclosure requirements for quarterly and annual financial statements, registration statements, and investment company reporting
- Excellent written and oral communication skills, including the ability to translate complex accounting matters for non-technical audiences
- Proven leadership and people management skills, with the ability to set direction, develop talent, and maintain a high-performing team under tight deadlines
- Strong executive presence and ability to operate effectively with senior leadership, the Board, and external auditors
- Demonstrated project management, prioritization, and problem-solving skills in a fast-paced, high-volume environment
- Collaborative and solutions-oriented, with the ability to build trust and influence across functions
- Familiarity with AI tools and a forward-looking orientation toward process automation and technology adoption
- Prior experience with Workiva / Wdesk strongly preferred
- Familiarity with the private equity / financial services industries strongly preferred
Benefits/Compensation
