Job summarySummary of Position

The VP/Director within the Financing & Client Services - Agency and Transaction Management (ATM) group is responsible for:

(i) Executing CACIB's role as Administrative Agent, sole lender (bilateral), or participant across Structured Finance and Corporate transactions in the Americas, managing each transaction throughout its full lifecycle from inception to termination; and (ii) Performing internal portfolio monitoring and oversight functions.

Main Responsibilities

Agency Management: Deliver a high-quality, client focused Administrative Agent function across an assigned portfolio of transactions, including:

  • Reviewing and providing feedback on draft financing agreement provisions as they relate to agency functions at transaction inception
  • Leading the coordination of funding across multiple financial institutions and CACIB's Back Office
  • Tracking, evaluating, and distributing borrower deliverables and compliance obligations, including financial statements, covenant compliance, UCC filings, and insurance requirements
  • Maintaining an organized and current deal site for lender access and reference
  • Monitoring guarantees and collateral throughout the life of each transaction
  • Evaluating conditions precedent (CPs) for draws, payments, term conversions, distributions, and related actions Coordinate loan assignment processes
  • Serving as the primary liaison to all transaction participants and stakeholders, including sponsors, lenders, legal counsel, independent engineers, and other deal advisors
  • Negotiating waivers and amendments with borrowers and sponsors; managing the end-to-end approval process with bank groups, including efficient coordination of Q&A among stakeholders and collecting participant lender consents
  • Leading bank meetings and conference calls Responding to inquiries from borrowers and lenders in a timely and professional manner
  • Collaborating cross-functionally with internal departments including Front Office, Back Office, Legal, and Credit Risk
  • Managing all internal and external processes required to properly document facility terminations at repayment
  • Oversee a portfolio of sole lender (bilateral) and participant transactions as required
  • Maintain accurate and current data across multiple interconnected internal systems to ensure effective portfolio monitoring and control
  • Partner with ATM management and the Data Monitoring team in Paris to uphold data integrity through ongoing controls and reconciliations
  • Support additional activities including SMAC maintenance, anomaly resolution, LGD troubleshooting, and ad hoc special projects, operating effectively in a high-volume, time-sensitive environment
  • Lead and contribute to internal projects and initiatives, as needed
  • Proactively identify and recommend workflow improvements that leverage available tools and resources
