Job description

Job Duties:
Represent various healthcare practices and private equity firms in selling and acquiring businesses within the healthcare industry. Conduct legal research on healthcare laws, regulations and policies, and structure deals to comply with healthcare regulations. Advise clients regarding regulatory compliance such as corporate practice of medicine, HIPAA and other patient privacy acts, and other corporate structuring matters. Draft and negotiate Asset Purchase Agreements, Stock Purchase Agreements, Management Services Agreements and other ancillary documents. Conduct extensive due diligence process and prepare contract review charts. Coordinate with clients and opposing counsels. Lead the closing in various transactions. Draft various company governance documents. Provide general corporate consultations.
Requirements:
JD, LLM or foreign equivalent degree, plus 2 years of experience in position offered or related occupation as an Attorney working on private equity transactions, venture capital transactions and mergers and acquisitions involving health care entities.
Must have 2 years of experience advising clients in the health care, pharmaceutical, medical device, and health insurance industries, performing all of the following:
  • Participate in cross-border transactions and represent public companies in complex high-stakes transactions (deal sizes in the middle to upper markets);
  • Advise private/public companies, private equity funds and financial institutions regarding M&A transactions within the healthcare industry;
  • Draft Asset Purchase Agreements, Stock Purchase Agreements, and Management Services Agreements;
  • Conduct extensive due diligence process;
  • Conduct legal research on health care laws to ensure transactions are compliant with regulations such as HIPAA and other patient privacy acts; and
  • Advise clients on policy and procedures in health care law including ethical standards and safety considerations.

Must be admitted to practice law in Florida.
