Job description

Direct Counsel is seeking a Tax Associate to join the growing Tax practice of a premier international law firm in Century City. This is an exceptional opportunity for an attorney looking to work on sophisticated transactional tax matters involving private equity, M&A, capital markets, investment funds, and real estate transactions.

The ideal candidate will have strong technical tax knowledge, excellent analytical skills, and experience advising on complex business transactions in a collaborative, client-facing environment.

Responsibilities
  • Advise clients on the tax aspects of complex business transactions
  • Support private equity and strategic mergers and acquisitions
  • Counsel clients on capital markets transactions, including IPOs and spin-offs
  • Advise on investment fund formation and structuring matters
  • Provide tax guidance on real estate transactions, including REIT-related matters
  • Conduct tax research and prepare sophisticated tax analyses and memoranda
  • Draft and review transactional documents with tax-related provisions
  • Collaborate with attorneys across corporate, private equity, capital markets, funds, and real estate practices
  • Participate in client development initiatives, presentations, and industry conferences
Qualifications
  • J.D. from an accredited law school
  • Class years 2020–2023
  • Strong understanding of transactional tax law
