Position Summary- Commercial & Distribution Matters
- Draft, review, and negotiate commercial agreements, including distribution agreements, supplier-distributor arrangements, licensing agreements, sponsorships, promotions, and vendor contracts.
- Support negotiations with wholesalers and business partners in compliance with federal and state alcohol laws.
- Advise internal stakeholders on contractual risk, deal structure, and compliance considerations.
- Alcohol Regulatory & Compliance
- Assist with legal analysis related to federal and state alcohol regulatory matters, including trade practice and tied-house laws.
- Support compliance related to promotions, sweepstakes, contests, and sponsorships.
- Work cross-functionally with compliance, sales, and marketing teams to support lawful go-to-market strategies.
- Monitor and help implement compliance processes related to beverage alcohol regulations.
- Employment & Corporate Support
- Support employment-related matters, including offer letters, restrictive covenants, policy review, and day-to-day HR legal questions.
- Assist with internal investigations and employment compliance issues.
- Assist with corporate governance and due diligence issues.
- Intellectual Property
- Support trademark and brand protection efforts, including coordination on trademark filings, clearance, enforcement, and licensing matters.
- Review IP provisions in commercial agreements and marketing initiatives.
- Real Estate & Operational Matters
- Assist with minor real estate matters, including lease reviews, amendments, estoppels, and related operational agreements.
- Provide general legal support for brewery and beverage operations as needed.
- Juris Doctor (J.D.) from an accredited U.S. law school.
- Active license to practice law in at least one U.S. jurisdiction.
- 2-5 years of experience in a law firm and/or in-house legal department.
- Strong contract drafting, review, and negotiation skills.
- Excellent written and verbal communication skills.
- Ability to manage multiple matters in a fast-paced, regulated environment.
- Experience in or exposure to the beverage alcohol industry or consumer package goods.
- Working knowledge of the three-tier system, alcohol distribution laws, and franchise considerations.
- Familiarity with trade practices, tied-house restrictions, promotions, contests, and sponsorship compliance.
- Experience supporting employment law or IP matters in an in-house setting.
- Prior work with regulated consumer products or highly regulated industries.
- Practical, business-minded legal judgment.
- Detail-oriented with strong organizational skills.
- Collaborative and comfortable working cross-functionally.
- Eager to learn and grow within a dynamic legal department.
