Our client, a global AmLaw 50 law firm, with a top-ranked Global Finance practice, is seeking a Senior Associate or Counsel to join its Fund Finance / Subscription Lines team. This is an exceptional opportunity to work within a highly regarded practice that advises financial institutions, alternative lenders, and asset managers on sophisticated fund-related financings. The team is deeply involved across the full lifecycle of fund finance transactions, from fund formation leverage considerations through complex downstream structuring and financings, and is consistently recognized by leading industry publications.


Candidate Profile
  • JD from a top-tier law school with an excellent academic record.
  • Active Bar Admission in relevant jurisdiction, in good standing.
  • 4+ years of substantive experience in fund finance and subscription line transactions, preferably in a large law firm setting.
  • Experience representing institutional lenders, business development companies, funds, and other investment vehicles in asset-backed financings, particularly within the private debt space
  • Demonstrated experience serving as a key member of deal teams, with responsibility for managing core aspects of transactions from due diligence through closing
  • Strong understanding of fund structures, collateral packages, and leverage considerations, including input at the fund formation stage
  • Ability to manage multiple transactions concurrently while maintaining a high level of precision and responsiveness
  • Soft Skills: Excellent analytical, writing, and communication skills; sound business judgment; and attention to detail are essential.

Key Responsibilities
  • Represent financial institutions, alternative lenders, and asset managers in fund finance and subscription line facilities
  • Advise on asset-backed financing structures for funds and other private investment vehicles
  • Lead and manage key aspects of transactions, including due diligence coordination, drafting, negotiation, and closing
  • Provide strategic input on debt and leverage issues at the fund formation stage and throughout the lifecycle of fund operations
  • Collaborate with colleagues across finance, fund formation, and regulatory teams on complex, multi-faceted transactions
