Job description

Direct Counsel is seeking a Corporate Associate with 4โ€“6 years of experience to join a growing corporate and securities practice in Boston or New York. This is an exceptional opportunity for an attorney seeking meaningful client interaction, early responsibility, and direct involvement with public companies, boards of directors, management teams, and in-house counsel.

The ideal candidate will have significant experience with SEC reporting and public company representation, along with exposure to capital markets transactions, mergers and acquisitions, and general corporate counseling.

Responsibilities
  • Advise public and private company clients on a broad range of corporate and securities law matters
  • Manage SEC reporting and ongoing public company compliance obligations
  • Counsel boards of directors, management teams, and in-house legal departments on governance and disclosure matters
  • Support capital markets transactions, including public and private securities offerings
  • Assist with mergers, acquisitions, and other strategic corporate transactions
  • Draft and review securities filings, transactional documents, corporate governance materials, and related agreements
  • Develop and maintain strong client relationships through direct and ongoing interaction
  • Collaborate closely with partners and take increasing responsibility for client matters and business development initiatives
Qualifications
  • 4โ€“6 years of corporate and securities law experience
  • Significant experience with SEC reporting and public company representation
  • Experience with capital markets transactions preferred
