Salary: $260,000 - $390,000+
A nationally recognized Am Law 50 firm is seeking a Securities & Corporate Governance Associate Attorney to join its Minneapolis office.
This opportunity is ideal for an attorney interested in advising public companies, boards of directors, and executive leadership teams on SEC reporting, securities law compliance, corporate governance, and strategic corporate matters.
Qualifications
J.D. from an accredited law school
Active Minnesota bar admission or ability to become admitted in Minnesota
Approximately 3-6 years of securities, corporate, capital markets, or public company experience
Experience with SEC reporting, disclosure obligations, and securities law compliance
Experience advising public companies on corporate governance matters preferred
Strong drafting, analytical, and communication skills
Excellent academic credentials
What You'll Do
Advise public company clients on SEC reporting and disclosure requirements
Prepare and review Forms 10-K, 10-Q, 8-K, proxy statements, and other securities filings
Counsel boards of directors and executive leadership teams on corporate governance matters
Assist clients with securities law compliance and reporting obligations
Support capital markets transactions and strategic corporate initiatives
Work directly with clients and senior attorneys on sophisticated corporate matters
